The organization's conflict of interest policy applies to all board members and key employees. Each member of the board or key employee shall submit annually to a designated member of the finance committee (the "designee") a completed conflict of interest annual disclosure statement ("annual disclosure statement"). The designee shall summarize the content of these disclosures in a report presented in a timely fashion to the finance committee. In the event of an actual or possible conflict of interest arising between filings of the annual disclosure statement, or not fully addressed by same, a member of the board or key employee must promptly report the nature of the actual or possible conflict of interest and the extent of any direct or indirect substantial financial interest to the designee.
