Any board member or employee of hope for henry foundation that has any direct or indirect interest in, or relationship with, any individual or organization which proposes to enter into any transaction with hope for henry foundation, gives notice of such to the chairman of the board of directors, and recuses him/herself from discussing or voting on the particular transaction in which he/she has an interest, otherwise attempting to exert any influence on hope for henry foundation, and/or affect the board's decision to participate or not participate in such transaction. If a potential conflict arises during the course of a meeting and it is not practical for the director to give notice to the chairman, the board member discloses the potential conflict to the board chair as soon as practical thereafter and the board then decides what action is appropriate.”

Hfh has used the proceeds for purposes consistent with the paycheck protection program. Subsequent to year-end, the loan was forgiven, and accordingly, hfh will record revenue from debt extinguishments during the year ending december 31, 2021.”
