Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of six individuals who shall be the chairperson, the chairperson-elect, the immediate past chairperson, the secretary, the treasurer, the governance leader and, optionally at the discretion of the chairperson, one additional director appointed by the chairperson. The executive committee shall be authorized to conduct the business of the board of directors between meetings of the board; however, this authority does not include the changing of policies established by the board. All actions of the executive committee shall be reported to the board of directors at its next meeting. The executive committee shall meet at least quarterly.

Form 990, Part VI, Section B, Line 11B

The form 990 was reviewed by the finance committee and then presented to the board of directors via e-mail for review and approval prior to filing. Directors were given one week to comment on the form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

The board of trustees and the staff are covered by the conflict of interest policy. The board of trustees requires annual disclosure of conflicts of interest by completing the conflicts of interest statements. The disclosures are reviewed by the executive committee of the board and the executive director to determine whether a conflict exists. When a possible conflict arises, the interested person is required to leave the board meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain, with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine, by a majority vote of the disinterested directors, whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the determination, it shall make its decision as to whether to enter into the transaction or arrangement.

Form 990, Part VI, Section B, Line 15

Form 990, part vi, line 15a compensation process for top official: the board of directors' executive committee shall annually review and approve corporate goals and objectives relevant to the executive director's compensation, evaluate the executive director's performance in light of those goals and objectives, and recommend to the board any changes in the executive director's compensation levels based upon this evaluation. The process described here was last completed in 2024. Form 990, part vi, line 15b compensation process for officers: the board of directors' executive committee shall review and approve new base salary and applicable compensation plans, if any, as well as benefits plans and programs for management and staff, as deemed appropriate by the executive committee, and proposed material changes to such programs. The organization leases all employees from employee management services, a staffmark company, which is a professional employer organization (peo). All employees are paid exclusively through the peo and receive a w-2 from the peo. Compensation paid to the peo by the organization is treated as employee compensation for purposes of form 990. All management decisions are made by the leadership of stewart's caring place. The peo provides support only with payroll and hr functions.
