Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the finance committee and is then presented to the board of directors via e-mail for review and approval prior to filing. A one week period will be utilized for comments and questions prior to filing the return.

Form 990, Part VI, Section B, Line 12C

The board of trustees and the staff are covered by the conflict of interest policy. The board of trustees requrires annual disclosure of conflicts of interest by completing the conflicts of interest statements. The disclosures are reviewed by the executive committee of the board and the executive director to determine whether a conflict exists and then they review the conflict. When a possible conflict arises, the interested person is required to leave the board meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the determination it shall make its decision as to whether to enter into the transaction or arrangement.

Form 990, Part VI, Section B, Line 15

Form 990, part vi, line 15a, compensation process for top official: the board of directors' executive committee shall annually review and approve corporate goals and objectives relevant to executive director's compensation, evaluate the executive director's performance in light of those goals and objectives, and recommend to the board any changes in the executive diretor's compensation levels based upon this evaluation. Form 990, part vi, line 15b, compensation process for officers: the board of directors' executive committee shall review and approve new base salary and applicable compensation plans, if any, as well as, benefits plans, and programs for management and staff, as deemed appropriate by the executive committee, and proposed material changes to such programs. In addition the executive committee shall oversee for mangement and staff the following as related to such programs: - salary actions; - incentive awards if any; - other applicable compensation and benefit plans; and - promotions
