“The charter and bylaws were amended in connection with the new mission of the organization to leverage the technology resources of the chattanooga area. A new board was appointed and the number of board members was increased to not less than fifteen and not more than twenty-three.”

“The form 990 is submitted to the treasurer for review and then reviewed and approved by the executive committee. After approval by the executive committee it is submitted to the board of directors prior to being submitted to the irs.”

The decisions of the executive committee are contemporaneously substantiated in the minutes of the executive committe and include an evaluation of data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. The determination of these amounts is made on an annual basis. An executive compensation policy was also adopted on march 7, 2011. Form 990, part vi,section b, line 15b: there are no other compensated officers or key employees.”
