Form 990, Part VI, Section B, Line 11B

Southeast foundation inc. Utilize their auditors to prepare a draft copy of the form 990 from information provided by the management of people inc. The southeast foundation, inc. Board of directors has assigned authority to the people inc. Board audit committee to review the draft 990, make suggestions or directives for adjustments, and recommend approval of a final form that meets their agreement. The draft is presented to management for their approval. The auditors also present the draft information returns to the people inc. Audit committee of the southeast foundation, inc. Board of directors and allow them to identify any issues, questions, or concerns they have with the form 990. The people inc. Audit committee then votes on whether or not they believe the return is accurate and whether they will recommend that it be approved by the southeast foundation, inc. Board of directors. A recommendation is made by the people inc. Audit committee to the southeast foundation, inc. Board of directors who are encouraged to review the information returns themselves or ask questions of the people inc. Audit committee. The southeast foundation, inc. Board will accept the recommendation of the people inc. Board audit committee as approval and uthorization for the final 990 to be submitted and released. The ceo will then sign form 8879-eo to authorize the auditors to file the form 990 electronically on behalf of the organization.

Form 990, Part VI, Section B, Line 12C

Southeast foundation inc.'s (people inc.'s) conflict of interest policy has two parts to it. The first part states that employees may not receive or accept any payment, gift or other personal economic benefit of value from any person or entity that has or seeks to have a business relationship with southeast foundation inc. (people inc.) in november/december an agency wide e-mail is sent out to reinforce this portion of the policy. Employees are directed to the corporate compliance officer to answer any questions from employees. The second part of the policy states that employees may not accept employment with an organization that has a relationship with southeast foundation inc. (people inc). Where the employee may gain financially or accept employment that will interfere with their employment at southeast foundation inc. (people inc.). Employees are made aware that they must disclose any employment outside of southeast foundation inc. (people inc.) that may create a conflict of interest. The entire policy is discussed at departmental meetings with the corporate compliance officer as well as reviewed at management training. The policy is contained in the employee handbook which all employees are able to access through the employee intranet. In addition, supervisors are asked to revisit this policy with their staff especially around the holidays.

People inc. And southeast community work center inc. Determines the compensation of the organization's president/ceo/executive director by having an independent contractor perform the following: 1) evaluate the current base salary for market competitiveness. 2) review the benefits and prerequisites provided. 3) develop recommendations for all components of the president/ceo's compensation. The board of directors then evaluates the recommendations from the third-party and votes on the recommendations provided.

Financial Statement Notes

PART X, LINE 2:

Southeast foundation inc. Is a not-for-profit organization and is exempt from income taxes as organizations qualified under section 501(c)(3) of the internal revenue code. The financial accounting standards board (fasb) issued fasb asc 740-10 which requires entities to disclose in their financial statements the nature of any uncertainty in their tax position. For tax-exempt entities, their tax-exempt status itself is deemed to be an uncertainty, since events could occur to jeopardize their tax-exempt status. However, southeast foundation inc. Has no knowledge of events or circumstances that would jeopardize its tax-exempt status. Southeast foundation inc. Implemented fasb asc 740-10 and its current accounting policy for evaluating uncertain tax positions is in accordance with generally accepted accounting principles. Southeast foundation inc. Has not recognized any benefits from uncertain tax positions in 2016 and believes it has no uncertain tax positions for which it is reasonably possible that the total amounts of unrecognized tax benefits will significantly increase or decrease within 12 months of the statements of financial position date. Southeast foundation inc. Evaluated its tax position and concluded that all of the positions taken by southeast foundation inc. Would more likely than not be sustained upon examination, based on technical merits. The information returns of southeast foundation inc. For 2013, 2014, and 2015 are subject to examination by tax authorities, generally for three years after they were filed.

THE FINANCIAL ACCOUNTING STANDARDS BOARD (FASB) ISSUED FASB ASC 740-10 WHICH REQUIRES ENTITIES TO DISCLOSE IN THEIR FINANCIAL STATEMENTS THE NATURE OF ANY UNCERTAINTY IN THEIR TAX POSITION. FOR TAX-EXEMPT ENTITIES, THEIR TAX-EXEMPT STATUS ITSELF IS DEEMED TO BE AN UNCERTAINTY, SINCE EVENTS COULD OCCUR TO JEOPARDIZE THEIR TAX-EXEMPT STATUS. HOWEVER, SOUTHEAST FOUNDATION INC. HAS NO KNOWLEDGE OF EVENTS OR CIRCUMSTANCES THAT WOULD JEOPARDIZE ITS TAX-EXEMPT STATUS. SOUTHEAST FOUNDATION INC. IMPLEMENTED FASB ASC 740-10 AND ITS CURRENT ACCOUNTING POLICY FOR EVALUATING UNCERTAIN TAX POSITIONS IS IN ACCORDANCE WITH GENERALLY ACCEPTED ACCOUNTING PRINCIPLES. SOUTHEAST FOUNDATION INC. HAS NOT RECOGNIZED ANY BENEFITS FROM UNCERTAIN TAX POSITIONS IN 2016 AND BELIEVES IT HAS NO UNCERTAIN TAX POSITIONS FOR WHICH IT IS REASONABLY POSSIBLE THAT THE TOTAL AMOUNTS OF UNRECOGNIZED TAX BENEFITS WILL SIGNIFICANTLY INCREASE OR DECREASE WITHIN 12 MONTHS OF THE STATEMENTS OF FINANCIAL POSITION DATE. SOUTHEAST FOUNDATION INC. EVALUATED ITS TAX POSITION AND CONCLUDED THAT ALL OF THE POSITIONS TAKEN BY SOUTHEAST FOUNDATION INC. THE SECOND PART OF THE POLICY STATES THAT EMPLOYEES MAY NOT ACCEPT EMPLOYMENT WITH AN ORGANIZATION THAT HAS A RELATIONSHIP WITH SOUTHEAST FOUNDATION INC. (PEOPLE INC). WHERE THE EMPLOYEE MAY GAIN FINANCIALLY OR ACCEPT EMPLOYMENT THAT WILL INTERFERE WITH THEIR EMPLOYMENT AT SOUTHEAST FOUNDATION INC. (PEOPLE INC.). EMPLOYEES ARE MADE AWARE THAT THEY MUST DISCLOSE ANY EMPLOYMENT OUTSIDE OF SOUTHEAST FOUNDATION INC. (PEOPLE INC.) THAT MAY CREATE A CONFLICT OF INTEREST. THE ENTIRE POLICY IS DISCUSSED AT DEPARTMENTAL MEETINGS WITH THE CORPORATE COMPLIANCE OFFICER AS WELL AS REVIEWED AT MANAGEMENT TRAINING.
