Each member of the board has the opportunity to review the return and suggest any changes prior to filing with the internal revenue service.”
“In accordance with health management group, ltd.'s conflict of interest policy, each "officer" includes any non-director serving on any committee of the board of directors and directors shall annually sign a statement which affirms that such person: a. Has received a copy of the conflict of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands the corporation is a charitable organization and that in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes, e. The organization updated its conflict of interest policy (coi) in 2014 to conform with the requirements of the nys non-profit revitalization act of 2013. Disclosed potential conflicts or confirmed no conflict exists 4. Recused themselves from discussion and voting (if conflict exists) the board of directors monitored and enforced compliance with the coi policy and documented this in minutes to meetings.”
