Form 990, Part VI, Section B, Line 11

A copy of form 990 is provided to the board of directors for their review prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Conflict of interest - employees all summit center employees are required to disclose any personal or professional relationships which may represent a potential or actual conflict with the interests of the agency immediately (and before entering into the potentially conflicting relationship if possible), as well as circumstances which may give the appearance of such. In addition, it is expected that employees will recuse themselves from deliberation and decision-making involving matters wherein such potential or actual conflict, or appearance of such, exists. Any situation that may create the appearance of a conflict must be disclosed as well. All employees have an obligation to conduct business within guidelines that prohibit actual or potential conflicts of interest. This policy is established to ensure that services and business activities are conducted, and appear to be conducted, in an objective manner and are not motivated by desire for personal or financial gain. Conflict of interest - board of directors members of the board of directors ("board") of summit educational resources, inc. ("summit") are required to disclose any personal or professional relationships which may represent a potential or actual conflict with the interests of the agency as soon as practicable, as well as circumstances which may give the appearance of such. In addition, it is required that board members recuse themselves from deliberation and decision-making involving matters wherein such potential or actual conflict, or appearance of such, exists. Other situations may create the appearance of a conflict. All such circumstances should also be disclosed. For purposes of this policy, a conflict of interest or potential conflict of interest may include, but not be limited to, the following circumstances: a. A board member (or relative of a board member) is affiliated with any vendor, supplier, or any other party providing or seeking to provide goods or services to summit or with whom summit has a relationship. B. A board member (or relative of a board member) has a financial interest in a transaction involving summit. C. A board member (or relative of a board member) is involved in some capacity or has a financial interest in a business or enterprise that competes with summit. D. A board member must also disclose a financial interest in any related party transaction not covered above (definitions below). Accepting gifts, entertainment or other favors from individuals or entities may also result in a conflict of interest when the party providing the gift/entertainment/favor does so under circumstances where it might be inferred that such action was intended to influence or possibly would influence a board member in the performance of his or her duties. This does not preclude the acceptance of items or entertainment of nominal or insignificant value which are not related to any particular transaction or activity of summit. Gifts of tickets to events or meals that involve networking and/or promoting summit are not considered to be a conflict. Board members are prohibited from offering, soliciting, giving, or receiving any referral fee, rebate, discount, bribe, gift or kickback, whether in-kind or financial in return for referring an individual to summit. Summit supports board members recommending qualified candidates for employment, including close family relatives. However a relative of a board member will not be interviewed for an opening unless he/she meets all the specific requirements of the position. In no event may a board member influence decisions regarding hiring, compensation, promotion or termination of a relative. This policy is intended to supplement but not to replace any applicable laws governing conflicts of interest applicable to non-profit and charitable institutions.
