“The organization amended its by-laws january 21, 2016 to comply with the new york nonprofit revitalization act. In addition, effective august 29, 2016, the organization received approval from the irs and changed its tax exempt status under irs code section 501(c)(4) to irs code section 501(c)(3).”

“The tax return is reviewed by the president of the organization and the treasurer of the board of directors and any questions raised are directed toward the paid preparer for clarification.”

“A director or officer is required to disclose a conflict of interest (a)prior to voting on or otherwise discharging his duties with respect to any matter involving the conflict which comes before the board or any comittee; (b)prior to entering into any contract or transaction involving the conflict; (c)as soon as possible after the director or officer learns of the conflict; (d)on the annual conflict of interest disclosure form. Annually, a form is distributed that solicits disclosure of all conflicts of interest. The president is responsible for determining the proper way for the corporation to handle decisions which involve unresolved employee conflicts of interest. In cases involving the president, the board chair will determine the appropriate response. The president shall report to the board at least annually concerning employee conflicts of interest which have been disclosed and contracts and transactions involving employee conflicts which the president has approved.”

“All employees except the president are to be evaluated by the president annually. Compensation of the employees are approved by the board when approving the budget and this approval is documented in the meeting minutes. The performance and compensation of the president is to be evaluated and approved ny the governance and compensation committee annually.”
