“During the fiscal year ended June 30, 2025, the Organization amended its organizational bylaws and made the following significant changes: 1. Terms of each elected officer have been changed from 1 year to 2 years. 2. Term limits for Board Directors have been established to be no more than five consecutive two-year terms. 3. Board Chair shall be elected to serve an initial term of three years and is eligible for election to a three year term. 4. Actions to remove a Director may now be considered at any regular or special meeting of the Board, provided that a statement be provided in writing to the Director proposed for removal at least thirty (30) days before any final action is taken by the Board. 5. Duties for the Board Chair were expanded to include: - Working with the President to ensure the Board's directives, policies, and resolutions are carried out; - Assisting the Corporation's President with the development, ongoing review, and implementation of the Corporation's strategic plan; - Coordinating any performance evaluations of the President; - Periodically consulting with Board members on their roles and contributions to the Board; - Assisting any Committees of the Board with respect to the tasks assigned to those Committees; - Other duties as may be prescribed by the Board of Directors from time to time - Chair shall nominate his or her successor, who must obtain approval of a majority of the Board of Directors for election as Chair of the Board. The Board of Directors shall be free to accept or reject the nomination of the Chair.”

“The Form 990 is prepared by an independent public accounting firm. The first draft of the Form 990 is reviewed by CFO, COO, CEO, Audit Committee and Treasurer. Questions and/or comments are circulated back to the CFO for discussion and if appropriate, revision. A final draft of the Form 990 is reviewed and then circulated to the Board prior to being filed. The draft is also reviewed by the Organization's counsel. A final review is performed by the CFO subsequent to the filing of the Form 990.”

“Frontier has a conflict of interest policy that applies to all employees and Board members. A conflict of interest form is circulated annually with a disclosure and information regarding our policy, forms are required to be completed by all employees and Board members. Potential conflicts of interest are required to be disclosed. All employee forms are collected and reviewed by the COO for conflicts of interest. All Board member conflict of interest forms are reviewed by the Board Chair and Secretary for conflicts of interest. Our policy contains a duty to disclose whenever a potential conflict of interest may arise. If there is a disclosure of interest these are reviewed by the COO, CFO, and the Board. If a Board member is the party, and this is a newly disclosed potential conflict of interest, they are asked to leave the Board meeting while determination of a conflict of interest is discussed and voted upon. Remaining Board members will decide if a conflict of interest exists. The Chairperson of the Governing Board shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.”

“The compensation committee is a subcommittee of the Board and is made up of three Frontier board members who are not also employees of Frontier Science, with legal counsel as an ad hoc member.”

“The compensation received by the voting members of the Board was for their positions within the Organization. No Board Member received compensation for sitting on the Board of Directors.”
