Governance Explanations

Form 990, Part VI, Section A, Line 4

The by-laws were changed to address procedures for board meeting attendance, the formation of committees and their respective functions.

Form 990, Part VI, Section A, Line 8B

There are no other committees with authority to act on behalf of the board.

Form 990, Part VI, Section B, Line 11

The 990 is reviewed by the finance committee and a summary is presented to the remaining board members. It is signed by the board treasurer prior to filing.

Form 990, Part VI, Section B, Line 12C

Our conflict of interest policy is designed to help trustees, officers and employees of wood library identify situations that present potential conflicts of interest and to provide wood library with a procedure to appropriately manage conflicts in accordance with legal requirements and the goals of accountability and transparency in wood library's operations. The policy clearly spells out the procedures to be followed in the event that a conflict or perceived conflict of interest exists. It addresses, among other things, the need for full disclosure of the nature of the conflict and the need for such disclosure to appear in the board meeting minutes. It makes clear that an individual with such a conflict would not be permitted to participate in discussion about the matter and may not exert personal influence on the matter. All board members review and sign the conflict of interest policy on a yearly basis.

Form 990, Part VI, Section B, Line 15A

Compensation of the director is determined by comparing the salaries of the directors in similar size association libraries in the four county library system of which wood is a part. The executive committee of the board is responsible for making a salary recommendation. The vote, by the full board, is generally done in conjunction with the vote on the annual budget. Form 990, part vi, section b, line 15b - there are not other compensated officers or key employees other than the executive director.

Form 990, Part VI, Section C, Line 19

Library by-laws and policies are kept in notebooks at each of the library's circulation desks and are available upon request. Those requiring additional information will be routed to the office of the executive director.
