“Any individual or corporation interested in the activities of arts mid- hudson may become a member, as per information posted on the arts mid-hudson website and on file at the arts mid-hudson offices. An honorary member may be elected by a unanimous vote of the directors at a duly-organized meeting.”

“Members of the board of directors shall be elected at the annual meeting by the arts mid-hudson membership from a slate presented by the board. The proposed slate will be publicized to the membership at least ten (10) days before the annual meeting. Nominations may be made from the floor at the annual meeting.”

“When the form 990 has been prepared, reviewed by management, and is ready to be filed with the internal revenue service, a copy of the form 990 is provided to all board members for review and comment prior to submission. All questions and comments are addressed until the return is finalized and approved for filing.”

“The conflict of interest policy shall require that prior to the initial election of any director, and anually thereafter, such director complete, sign and submit to the secretary of arts mid-hudson a written statement identifying, to the best of the director's knowledge, any entity of which such director is an officer, director, trustee, member, owner (either as a sole proprietor or a partner), or employee and with which arts mid-hudson has a relationship, and any transaction in which arts mid-hudson is a participant and in which the director might have a conflicting interest. The policy shall require that each director annually resubmit such written statement. The secretary of arts mid-hudson shall provide a copy of all completed statements to the chair of the audit committee or, if there is no audit committee, to the chair of the board.”

“The governance committee, including the chair of the board, annually provides the executive director with a performance and salary review. The salary review includes regional knowledge of organizations with budgets in the same range.”

“The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and similar types of websites. In addition, the financial statements, conflict of interest policy, form 990 and bylaws are also available upon written request at the organization's address.”

“The audit committee is responsible for the oversight of the audit of its financial statements and selection of the independent accountant. This process is unchanged from last year.”
