Governance Explanations

Form 990, Part VI, Section B, Line 11B

As part of the annual audit, our independent certified public accounting firm prepares a draft of form 990 and related supporting schedules from our internal records. There is an immediate review by the executive director and associate director to oversee these services, make all management decisions, and perform all management functions. The draft 990 and annual audit are reviewed by the board of directors for comments and acceptance. We have reviewed, approved, and accepted responsibility for form 990 and the related supporting schedules and believe they are adequately supported by the books and records of albany housing coalition, inc.

Form 990, Part VI, Section B, Line 12C

Board members sign a code of conduct annually. Board members disclose any conflicts to the full board. Upon hire and several times a year at staff meetings, code of conduct, code of ethic, and conflict resolution policies are reviewed with employees. Employee acknowledgement is verified with signed documents that are kept in each employee file. Conflict resolution is first discussed with the supervisor and referred to the executive director if needed.

Form 990, Part VI, Section B, Line 15

The board president annually writes a review for the executive director and distributes to each board member via mail. The board also receives an executive salary compensation spreadsheet comparing executive director salaries among several local and other comparable veterans organizations. The board of directors uses an executive session to discuss the review. The executive director is subsequently invited to further discuss the review. No member of the board of directors receives compensation. Form 990, part vi, line 15b: the executive director is the only albany housing coalition, inc. Employee meeting the definition of a "top management official". There are no "key employees". See response above to form 990, part vi, line 15a.

Financial Statement Notes

PART X, LINE 2:

The financial accounting standards board (fasb) issued fasb asc 740-10 which requires entities to disclose in their financial statements the nature of any uncertainty in their tax position. For tax-exempt entities, their tax-exempt status itself is deemed to be an uncertainty, since events could occur to jeopardize their tax-exempt status. However, albany housing coalition, inc.(ahc) has no knowledge of events or circumstances that would jeopardize its tax-exempt status. Ahc has implemented fasb asc 740-10 and its current accounting policy for evaluating uncertain tax positions is in accordance with generally accepted accounting principles. Ahc has not recognized any benefits from uncertain tax positions in the year ended january 31, 2018 and believes it has no uncertain tax positions for which it is reasonably possible that the total amounts of unrecognized tax benefits will significantly increase or decrease within 12 months of the statements of financial position date. Ahc evaluated its tax position and concluded that all of the positions taken by ahc would more likely than not be sustained upon examination, based on technical merits. The information returns of ahc for the years ended january 31, 2015, 2016, and 2017 are subject to examination by tax authorities, generally for three years after they were filed.
