“Prior to filing with the internal revenue service, a copy of the organization's form 990 is reviewed by the chief financial officer and the operations committee of the board of directors. After such review the form 990 will be circulated to the board of directors via e-mail for their review prior to filing the form with the internal revenue service.”
“Each director, officer and employee of the organization shall annually sign a statement which affirms such person: 1. Has received a copy of the conflict of interest policy, 2. Has read and understands the policy, 3. Agrees to comply with the policy, and 4. Understands the organization is charitable and in order to maintain federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Periodic reviews of any potential conflicts shall be performed at least annually. Upon receipt of a disclosure of a potential conflict of interest, the governance committee will meet at which point the interested party may make a presentation. The committee will then deliberate and decide by majority vote whether a conflict of interest exists. If it is determined that a conflict does exist, the committee shall report its recommended course of action to the board of directors for final action.”
“At least annually, the board of directors, and/or its executive committee or any other committee created by the board for this purpose, if any, shall engage in a compensation analysis of the executive director and any other "disqualified persons" to run concurrently with the individual's annual performance evaluation. The board and/or committee will review the total compensation of the executive director with respect to the reasonableness of such based on the services to be provided to the organization. The board and/or committee will also review comparative information from like or similar tax exempt entities to assist in determining the compensation package of the executive director.”
“The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are available upon written request or by calling the organization directly.”
