The form 990 is submitted electronically to the executive committee for review and approval. Subsequent to the executive committee's approval, the form 990 is circulated to the full board. The full board will review the form 990 prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Directors, officers, and key employees must submit a conflict of interest questionnaire to the secretary of the bardavon at least once per year. The secretary will provide copies of all submitted questionnaires to the chair of the audit committee. The audit committee/board will review all conflicts of interest and determine whether to approve or ratify any such matters. The audit committee may only approve the underlying matter if it determines that such matter, under the terms and within the circumstances and conditions presented, is fair, reasonable, and in the best interests of the bardavon. Persons with an interest in any matter under review by the audit committee are not permitted to be present at, or participate in, any deliberations or voting by the audit committee with respect to the matter giving rise to the potential conflict, and must not attempt to improperly influence the deliberation or voting on such matter. In appropriate circumstances, any such person may be called upon to provide information relevant to the determination prior to the commencement of deliberations or voting related thereto. If the audit committee has reasonable cause to believe that a director, officer, or key employee failed to comply with the conflict of interest policy, it may make such further investigation as may be warranted in the circumstances, and if it determines that the individual has failed to comply with the policy, it shall take appropriate action, which may include removal from office or termination of employment.

Financial Statement Notes

PART V, LINE 4:

Certain endowment funds have been established for the benefit of the bardavon 1869 opera house, inc. And are held and managed by the community foundations of the hudson valley ("foundation"). These endowment funds are included in the bardavon's statement of financial position as other assets. The bardavon annually receives 5% of these assets held by the foundation at year end (subject to restrictions). The beneficial interest amounted to $423,764 as of october 31, 2022.

PART X, LINE 2:

The internal revenue service has determined the organization is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. As such, no federal or new york state taxes are paid by the organization. The profits and losses of upac manager llc and upac llc are to be included in the income tax returns of each member and, as a result, no provision for income taxes or income tax benefits has been reflected in the accompanying consolidated financial statements. The financial accounting standards board (fasb) provides guidance for how uncertain income tax positions should be recognized, measured, disclosed and presented in the consolidated financial statements. This requires the evaluation of tax positions taken or expected to be taken in the course of preparing the organization's tax returns to determine whether the tax positions are more-likely-than-not of being sustained when challenged or when examined by the applicable tax authority. Tax positions not deemed to meet the more-likely-than-not threshold would be recorded as a tax benefit or expense and liability in the current year. For the years ended october 31, 2022 and 2021, management has determined there are no uncertain tax positions.
