Governance Explanations

Form 990, Part VI, Section A, Line 6

Nysarc, inc. Is a unitary corporation consisting of its 52 chapters. Nysarc, inc., columbia county chapter, is one division of the corporation. The corporation and the chapter's governing body is the board of governors representing the individual membership in each chapter's jurisdiction. Each chapter has one primary and one alternate governor with a weighted vote based on membership. The corporation through its bylaws delegated day-to-day operating authority to the chapter's board of directors. The executive committee of the board of governors (see part vi, line 7a below) comprises the corporation's elected officers and excercises all powers of the board of governors between plenary meetings of the governors.

Form 990, Part VI, Section A, Line 7A

The organization's members elect the officers and directors of the chapter annually. In turn, those chapter board members nominate the officers and directors of the corporation.

Form 990, Part VI, Section A, Line 7B

Chapter bylaw amendments are subject to board of governor approval. Any action of the board of governors may be reviewed at the succeeding delegate assembly. No action of the governors that affects the irrevocable rights of third parties may be rescinded. Corporate bylaw amendments are subject to approval by a majority of chapters.

The board of governors does not review chapter's form 990 before they are filed. Each chapter submits a copy of its form 990 to the governing body when the form 990 is filed by the chapter. Each chapter must have a process for its board of directors to review the form 990. The columbia county chapter policy is as follows: a copy of the irs form 990 is distributed upon completion each year to all members of coarc's board of directors prior to filing with the internal revenue service. The completed form 990 is reviewed each year with the members of the audit committee at the first regularly scheduled monthly meeting subsequent to completion.

The organization conforms with the requirements of the nys non-profit revitalization act of 2013. In accordance with the procedures stated in the coi policy, board members and officers: 1. Obtained a copy of the policy; 2. Reviewed potential conflicts (as defined) 3. Disclosed potential conflicts or confirmed no conflict exists 4. Recused themselves from discussion and voting (if conflict exists) the board of directors monitored and enforced compliance with the coi policy and documented this in minutes to meetings.

The timeline and process for ceo evaluation and compensation review is described below: *september 15 - ceo self-evaluation report ready for review by the administrative committee. *administrative committee to schedule a meeting to review self-evaluation report and the ceo compensation is compared to annual nysarc executive survey. Ceo makes recommendation to the committee on associate ed salaries. *administrative committee to present its recommendation to the board of directors in executive session at the october meeting (3rd monday of the month). *administration committee to review its recommendation with the ceo no later than november 1.

IRS990/Desc0RESIDENTIAL SERVICES: 79 INDIVIDUALS WERE SUPPORTED WITH THEIR DAILY LIVING SKILLS AND RECREATIONAL OUTINGS IN 15 HOMES WITH 24 HOUR STAFFING AND 20 INDIVIDUALS WERE SUPPORTED IN 17 INDEPENDENT COMMUNITY SITES WITH REGULAR STAFF VISITS TO ASSIST IN ACHIEVING THEIR PERSONAL GOALS. THE OBJECTIVE OF THE RESIDENTIAL PROGRAM IS TO PROVIDE SAFE AND COMFORTABLE HOMES THAT GIVE INDIVIDUALS WITH DISABILITIES THE OPPORTUNITY TO EXPERIENCE AN INDEPENDENT AND MEANINGFUL LIFE.

THE OBJECTIVE OF THIS PROGRAM IS TO ASSIST INDIVIDUALS WITH DISABILITIES IN BECOMING INDEPENDENT, CONTRIBUTING MEMBERS OF OUR COMMUNITY.

IRS990/ProgSrvcAccomActy3Grp/Desc0EDUCATION SERVICES: THE STARTING PLACE IN HUDSON IS OUR PRE-SCHOOL, UNIVERSAL PRE-KINDERGARTEN FOR THE HUDSON, NY, SCHOOL DISTRICT AND DAY CARE CENTER FOR THREE-TO FIVE-YEAR OLDS AND THEIR FAMILIES. CLASSROOMS AND DAYCARE ARE STAFFED WITH A HIGH ADULT-TO-CHILD RATIO AND INTEGRATE CHILDREN WHO ARE EXPERIENCING DISABILITIES ALONG WITH THOSE WHO ARE NOT. OUR SPECIAL EDUCATION TEACHERS AND ASSISTANTS PROVIDE EDUCATIONAL INSTRUCTION USING A DEVELOPMENTALLY APPROPRIATE PLAY-BASED CURRICULUM. CLASSES FOCUS ON ADAPTIVE, FINE AND GROSS MOTOR SKILLS, COMMUNICATION SKILLS AND IMPROVING SOCIAL, EMOTIONAL, COGNITIVE AND SENSORY IMPAIRMENTS. CLINICIANS PROVIDE INDIVIDUALIZED ATTENTION THROUGH SPEECH, OCCUPATIONAL AND PHYSICAL THERAPY, SOCIAL WORK AND PSYCHOLOGICAL SERVICES. GUIDELINES FOR THE STARTING PLACE DAY CARE CENTER ARE SET AND MONITORED BY THE OFFICE OF CHILDREN AND FAMILY SERVICES FOR PROVISION OF QUALITY DAY CARE.
