Mission

Each year, the organization produces two theatrical shows. There may also be one special event. The net profits from these endeavors are distributed to an organization or organizations described in section 170(c) of the internal revenue service code.

The blue hill troupe brings high-quality theatre performances to new york city audiences while raising money for new york city charities. The troupe has donated over three million dollars since its founding in 1924.

Governance Explanations

All volunteers that join the organization are considered to be members. Members in good standing, who have the right to elect members of the governing body, must meet minimum requirements. These requirements include that members pay dues and are current with their dues.

Members of the organization may vote to elect one or more members of the governing board if such a person is in good standing. To be in good standing, such member must meet minimum requirements.

As a membership organization there are times that the board will defer decisions to the general membership. However, these decisions generally do not involve the normal operations of the organization, rather the board will defer decisions to the membership that involve membership, and other various activities of the organization.

Form 990, Part VI, Section B, Line 11

The treasurer, after receiving the draft of the form 990 return and all required schedules from an independent accountant reviews the draft which is then reviewed by the audit and records committee, a group of former treasurers serving terms of a minimum of three years. After revisions that may be required, the form 990 return and all required schedules are distributed to the board of directors for review prior to submission to the irs.

The blue hill troupe has a formal conflict of interest policy. For the fiscal year ending june 30,2016, the nine members of the board of directors filled out and signed questionnaires stating that they had no conflict of interest as described by the policy. The signed questionnaires will be retained in accordance with the written document retention and destruction policies.

Financial Statement Notes

PART V, LINE 4:

Per resolution that established the endowment fund, the income and principal may be applied, at the discretion of the board of directors, towards the needs of the troupe in carrying out its tax-exempt purpose. The current strategy calls for an annual allocation of up to 5% of a rolling three-year average of capital gains and dividends to fund capital and infrastructure needs that will better support the troupe in meeting its tax exempt purpose.

PART X, LINE 2:

The organization adopted requirements for accounting for uncertainty in income taxes in accordance with recently enacted accounting standards. As of june 30, 2016 and 2015, the organization does not believe it has any uncertain tax positions that would require either recognition or disclosure in the accompanying financial statements.
