Governance Explanations

Form 990, Part VI, Section B, Line 11B

After review by tcg's cfo, deputy director and executive director, the 990 will be distributed to the audit committee for their review before filing. The 990 will then be distributed to the full board.

Form 990, Part VI, Section B, Line 12C

The board of directors complete an annual disclosure statement as required by the organization's conflict of interest policy. Board members are also required to notify the board of directors when any transactions arise that could involve an actual or possible conflict of interest. The disclosure statements and any disclosures made are reviewed by the treasurer or board chair for compliance to the organization's conflict of interest policy. If any disclosures require further investigation, the treasurer or board chair work with the board of directors to investigate and resolve any such disclosures. In the event that the board considers an issue that involves the financial relationship between the organization and a member of the board, the board member will disclose to the board the financial relationship that the particular board member has, with respect to the issue. The board member shall refrain from voting on the matter.

Form 990, Part VI, Section B, Line 15A

The salary of the executive director is reviewed and approved by the compensation committee after reviewing comparable salaries of other service organizations and compensation surveys. In addition, the compensation committee of the board votes to approve overall salary and benefit levels of the organization though the only individual salary they approve is of the executive director.

Form 990, Part III, Line 1

Theatre communications group (tcg), the national organization for theatre, leads for a just and thriving theatre ecology. Since its founding in 1961, tcg's constituency has grown from a handful of groundbreaking theatres to over 700 member theatres and affiliate organizations and over 7,000 individual members. Through its programs and services, tcg reaches over one million students, audience members, and theatre professionals each year. Tcg offers networking and knowledge-building opportunities through research, communications, and events, including the annual tcg national conference, one of the largest nationwide gatherings of theatre people; awards grants and scholarships to theatre companies and individual artists; advocates on the federal level; and through the global theater initiative, tcg's partnership with the laboratory for global performance and politics, serves as the u.s. Center of the international theatre institute. Tcg is north america's largest independent trade publisher of dramatic literature, with 18 pulitzer prizes for drama on the tcg booklist. It also publishes the award-winning american theatre magazine and artsearch, the essential source for a career in the arts. Tcg believes its vision of "a better world for theatre, and a better world because of theatre" can be achieved through individual and collective action, adaptive and responsive leadership, and equitable representation in all areas of practice. Tcg is led by the executive director and ceo teresa eyring and deputy director and coo adrian budhu. Www.tcg.org

BY MAKING FUNDS AVAILABLE TO ORGANIZATIONS, INDIVIDUAL ARTISTS, AND ADMINISTRATORS, TCG IS ABLE TO PROVIDE DEVELOPMENT OPPORTUNITIES FOR A GROWING BODY OF PROFESSIONALS AND HELP BUILD AND CONNECT A NEW GENERATION OF PRACTITIONERS FOR THE FIELD. PROGRAMS DURING FY20 INCLUDE: THE FOX FOUNDATION RESIDENT ACTOR FELLOWSHIPS; THE WILLA KIM COSTUME DESIGN SCHOLARSHIP; THE ALAN SCHNEIDER DIRECTOR AWARD; THE RISING LEADERS OF COLOR PROGRAM; GLOBAL CONNECTIONS; AND AUDIENCE (R)EVOLUTION WHICH IS A MULTI-YEAR PROGRAM DESIGNED BY TCG AND FUNDED BY THE DORIS DUKE CHARITABLE FOUNDATION TO STUDY, PROMOTE AND SUPPORT SUCCESSFUL AUDIENCE ENGAGEMENT MODELS ACROSS THE COUNTRY. WHILE NOT A GRANT PROGRAM, TCG'S EQUITY, DIVERSITY & INCLUSION (EDI) INSTITUTE IS A KEY PART OF TCG'S EQUITY, DIVERSITY & INCLUSION INITIATIVE TO TRANSFORM THE NATIONAL THEATRE FIELD INTO A MORE EQUITABLE, INCLUSIVE, AND DIVERSE COMMUNITY - THE EDI INSTITUTE INCLUDES RESOURCES FOR NETWORKING, CAPACITY BUILDING, AND MOVEMENT BUILDING AMONG PREDOMINANTLY WHITE THEATRES AND NETWORKS OF THEATRES OF COLOR. THE EDI INSTITUTE IS SUPPORTED BY THE ANDREW W. MELLON FOUNDATION AND THE HEARST FOUNDATIONS.TCG'S GRANTMAKING AND SCHOLARSHIPS ARE DESIGNED TO SUPPORT THE WORK OF INDIVIDUALS AND INSTITUTIONS AND ADVANCE THE THEATRE FIELD. THE GRANTS AND SUBSIDIES THAT TCG AWARDS BOTH ADDRESS THE IMMEDIATE NEEDS OF TCG'S CONSTITUENCY AS WELL AS LEVERAGING UNIQUE OPPORTUNITIES FOR FIELDWIDE CAPACITY-BUILDING. TCG DISTRIBUTES APPROXIMATELY $1.5 MILLION PER YEAR THROUGH PHILANTHROPIC PARTNERSHIPS WITH FOUNDATIONS, INDIVIDUAL DONORS, AND SPONSORS. SINCE 1961, TCG HAS AWARDED OVER $43 MILLION IN DIRECT SUPPORT TO THE FIELD BY PROVIDING OVER 900 AWARDS TO ORGANIZATIONS AND OVER 1,300 INDIVIDUALS.
