“Hyde Hall permits the executive director (Jonathan Maney) to reside at the Caretaker's Cottage. Jon has paid routine expenses such as the utilities, but no rent.A member of the Organizations Board of Trustees is also the director of the banking institution where the Organization maintains its bank accounts.”

“It shall be the policy of Hyde Hall Inc. to have Form 990 reviewed by its Audit committee on behalf of the Board of Trustees each year prior to filing with the Internal Revenue Service. Said review can be completed during the course of a regularly scheduled meeting at which a quorum is present. In the event no meeting is scheduled prior to the due date of filing Form 990, the audit committee may review and approve said form electronically with all approvals being forwarded to the Treasurer of Hyde Hall Inc.”

“Board members and management employees are asked to complete and return a conflict of interest disclosure statement on an annual basis.”

EXECUTIVE DIRECTOR PERFORMANCE AND COMPENSATION REVIEW1)Selection of the Executive DirectorThe Board is responsible for identifying potential candidates for, and selecting, the Company's Executive Director. In identifying potential candidates for and selecting the Company's Executive Director, the Board considers, among other things, a candidate's experience, and understanding of the Company's business environment, leadership qualities, knowledge, skills, expertise, integrity, and reputation in the business community.2)Evaluation of Executive DirectorThe Executive Committee of the board of trustees is responsible for overseeing the evaluation process for the Executive Director.The process is intended to formally assess the Executive Director's past performance as well as to help the Board determine future developmental needs for the Executive Director. The executive committee periodically reviews the performance of the executive director.Based on a full range of management, financial, administrative, fundraising and other measures and consistent with the terms of his employment letter.”

“It shall be the policy of HYDE HALL, INC. to have governing documents, including the Conflict Of Interest Policy and financial statements available to the public upon request. These documents shall be kept by the Treasurer as appointed by the Board of Trustees of HYDE HALL, INC.The Treasurer of HYDE HALL, INC. shall produce the documents upon receipt of a written or verbal request of the public. The Treasurer shall keep a record of the written and/or verbal request.”

“The Organization leases the Hyde Hall building and surrounding grounds from the State of New York for a period of 30 years expiring December 31, 2046. The terms of the lease require a $1 annual lease payment. The purpose of the lease is to enable the Organization to restore the property and upon completion of the restoration to operate the facilities as a public museum.”
