Governance Explanations

Form 990, Part VI, Section A, Line 6

The membership of the association shall consist of the following eight classes: active, corresponding, associate, student, institutional, corporate, life, and honorary.

Form 990, Part VI, Section A, Line 7A

The active members are deemed to be voting members with the right to vote for board members, serve on the board of directors, make bylaw changes, and serve on committees. Active members have the right to attend any of the association membership meetings, use all of its membership facilities, and receive all of its regular publications free or at special membership rates. They also have the right to take certification examinations, to vote, to hold association office, and to serve on the board of directors and all committees of the association. Corresponding members have all the rights and privileges of active members except the right to hold association office and to serve on the board of directors or standing committees. Associate members have all the rights and privileges of active members except the right to vote, to hold association office, and to serve on the board of directors or standing committees. Institutional and corporate members have all the rights and privileges of active members except the right to vote, to hold association office, to serve on the board of directors or standing committees, and to take certification examinations. The rights shall be exercised through a person appointed by the organization holding the membership. This appointment does not confer individual membership on the designated person. Student members pay reduced dues, but enjoy all the rights and privileges of associate members. Life members pay reduced dues, but enjoy all the rights and privileges of the membership class for which they are qualified. Honorary members pay no dues, but enjoy all rights and privileges of the membership class for which they are qualified.

Form 990, Part VI, Section B, Line 11

The federal form 990 is prepared by an outside public accounting firm based on input and information provided by management. Once the return is complete, management carefully reviews the draft version of the federal form 990 and recommends changes and approves the return. The return is then provided to each member of the board of directors for review prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is enforced by the executive committee. Any violations of the policy are immediately addressed and proper action is taken. The matter is first addressed with the party in conflict. Then, the committee will decide the appropriate action to take depending upon the conflict, such as preventing the individual from participating in an event or deciding upon an issue under normal circumstances. Once the issue is resolved at this level and if the matter becomes escalated beyond the comfort of the committee, corporate counsel will mediate the issue at hand in order to resolve the issue.

Form 990, Part VI, Section B, Line 15A

The executive committee determines the compensation of the executive director using independent market data as references. They also perform annual performance evaluations for the executive director. This evaluation was most recently undertaken in 2014. The executive director approves the compensation for key employees. The executive director uses relevant hr resources as a tool to ensure that fair compensation is extended to all staff. This evaluation was most recently undertaken in 2014 as well.
