“The organization is a professional membership organization for dentists. The board of directors is comprised of members. Directors are elected by the membership-at-large at a general meeting after being nominated by a nominating committee.”

“A nominating committee approved by the board and composed of members proposes officers and board members at large to the general membership for approval. Members also approve certain issues such as dues increases. Any decision of the board of directors may be revoked by a 2/3 majority affirmative vote of the society members present and voting at a regular or special meeting of the society, provided a copy of the decision in question and reason for its revocation is given to the membership not less than 15 days or more than 90 day in advance of the meeting.”

“The organization designates the finance committee to review the form 990. Then, the 990 is reviewed and approved by the board of directors before submittal.”

“Officers and directors are required to disclose interest that could give rise to conflicets whenever such events occur. Officers and directors sign a conflict of interest attestation at the beginning of each calendar year.”

“The executive director's compensation is determined by the board of directors. A performance review is conducted annually with a recommendation to the board for executive compensation for the following year done in november. Performance and industry average are major factors in determining the compensation. This was last done in november 2022 unpon the performance review for the executive director.”

“The organization's governing documents, conflict of interest policy and financial statements are made available only to members of the society. The 990 tax document is available for public inspection at the sccds office during business hours.”
