Governance Explanations

Form 990, Part VI, Section B, line 11B

The Audit Committee reviewed the draft 990 and the Committee's feedback was incorporated into a final draft that was sent to all Directors for review. The 990 was filed after incorporating feedback from the Directors during the subsequent comment period.

Form 990, Part VI, Section B, line 12C

THE DIRECTORS, OFFICERS, and key employees SIGN A COPY OF THE CONFLICT OF INTEREST POLICY ON AN ANNUAL BASIS. In addition, Directors must disclose any transaction which likely amounts to an actual or potential conflict of interest to the Board and Executive Committee, and abstain from any discussion about the potential transaction. If any matter comes before the board in such a way as to give rise to a conflict of interest, the affected directors shall make known the potential conflict and, after answering any questions posed by other Directors shall withdraw from the meeting for so long as the matter shall continue under discussion and shall abstain from all voting with respect to such matter. The affected director may be counted to establish a quorum for a meeting at which an action in which such director has an interest is being considered, but not in determining a majority vote to authorize the transaction. The Organization discloses the transaction and the voting details in its minutes. This includes the names of the persons present for discussion and voting, the content of the discussion, including any alternatives to the discussion, and a record of any votes taken. The Organization also documents the process it undertook to verify that the transaction is fair. Directors are required to disclose this interest in writing on the Annual Acknowledgement of Code of Ethics and Conflicts of Interest Questionnaire.

Form 990, Part VI, Section B, line 15

Each June, the Executive Committee reviews the performance of the Executive Director & CEO and sets compensation for the following fiscal year. In determining the compensation, the Executive Committee examines comparability data provided by a search consultant and from public sources. The Executive Committee communicates its decision in writing to the organization for implementation. The last review was performed in June 2017. The Executive Director reviews the compensation for top management officials annually and the Board of Directors approves compensation adjustments as part of the organization's budget approval. Top management compensation was last approved in September 2017.

Form 990, Part VI, Section C, line 19

The Organization makes its form 990 available for public inspection as required under section 6104 of the Internal Revenue Code. The return is posted on its website, on guidestar.org and other similar types of websites. In addition, the financial statements are posted on its website and all governing documents including form 1023, conflict of interest policy, by-laws, 990 and financial statements are available upon written request or by calling the organization.

IRS990/Desc0Community Schools:Following the national community school strategy, Partnership with Children builds partnerships between schools and community resources and integrates academics, health and social services, youth and community development and community engagement. We establish and manage the Community Schools program, always alongside our integrated student supports, individual counseling, small group counseling and trauma-informed care so each of our 14 community schools benefit from the expanded mental health and behavioral supports that are core to our mission. PWC is among the most active organizations in the NYC initiative.
