The society has two (2) classes of members: 1. Fellows (including life fellows and honorary life fellows) are elected by the board of trustees from persons nominated by the society's nominating and governance committee having demonstrated exemplary personal and professional qualities in numismatics and related fields. 2. Associate members are individuals interested in numismatics, who apply for membership. Associate membership is granted by approval of the board of trustees. Rights and privileges of membership are available to associate members, but they do not have the right to vote on society matters, nor does their attendance at meetings contribute to quorum requirements.

Form 990, Part VI, Section A, Line 7A

At the annual meeting of the society, the election of the staggered board of trustees takes place. Fellows elect the trustees. Fellows and associate members are eligible to become trustees. All fellows, including honorary life fellows, are entitled to vote. Associate members do not have the right to vote in board elections.

Fellows of the society have voting rights pursuant to the society's by-laws, including the power to: 1. Elect the board of trustees from those nominated by the nominating and governance committee; 2. Adopt alterations, amendments or items of repeal to the society's mission statement, articles of incorporation or by-laws: 3. The society has its form 990 prepared by an outside accounting firm and is reviewed by the deputy director and the executive director. A complete copy of the 990 is then provided to all members of the board of trustees for their review and comment prior to filing.

Form 990, Part VI, Section B, Line 12C

The american numismatic society (ans) has in place a conflict of interest policy. The conflict of interest policy and disclosure statement are distributed to all trustees, officers, and key persons on an annual basis and are required to sign the disclosure statement, disclosing any potential conflicts of interests. Completed disclosure statements are reviewed by the president of ans. In addition, any new conflicts or change in circumstances are brought to the attention of the president of ans. The audit committee then reviews all matters involving conflicts of interest, including potential conflicts, and recommends to the board of trustees whether to approve such matters. The approval of any matter involving a conflict of interest, including potential conflicts, shall require the approval of at least a majority vote of the independent members of the board present and voting at the meeting. Persons having actual or apparent conflicts must recuse themselves from deliberations and voting on matters giving rise to such conflict. Discussions of any potential conflict of interests are recorded in the minutes of the board.

Form 990, Part VI, Section B, Line 15A

The personnel committee of the board of trustees is charged with annually determining, reviewing and approving the executive director's compensation. The committee considers all available information including those from comparable organizations (such as form 990s of similar non-profits in the same geographic area), published compensation studies, and current economic conditions. A final report of all compensation decisions is presented to the board of trustees and recorded in the board minutes. This process was last conducted in fiscal year 2020.

Financial Statement Notes

PART III, LINE 1A:

The society's collections consist primarily of numismatic objects and books. They are cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed periodically. The society's collections, acquired through purchase and contributions, are not recognized as assets on the statement of financial position. Purchases of collection items are recorded in the year in which the items were acquired as decreases in unrestricted, temporarily restricted or permanently restricted net assets, based on the restrictions placed on assets used to purchase the items. Proceeds from deaccessions are reflected as increases in the appropriate net asset class, and are used to acquire other items for the collection. The current value of the collections is not readily determinable.

PART III, LINE 4:

The society's collections of coins, currency, medals, books, and other numismatic items, of all historical periods and from all cultures, are among the most comprehensive and educationally valuable collections in the world. The mission of the society is to foster appreciation of these objects as historical and artistic artifacts and documents, and to make them available to scholars and the interested public through exhibitions-both at the society's headquarters and through loans to other institutions-private viewings, publications, and online access. To this latter end, among many other projects, the society has thus far digitized images of more than 170,000 coins and medals from its collections. The society is now actively engaged in making many of its past publications available online and has undertaken to issue digital versions of all new publications.

PART V, LINE 4:

The endowment funds are primarily invested in marketable securities. The income earned on these investments is used for the specific designated purposes as specified by donors or by the board, such as coin and medal purchases, library acquisitions, education, and departmental support. In addition, under the ans spending policy, up to 5% of the average fair-market value of the endowment funds, calculated as a three-year rolling average, is available for appropriation. In any year when the annual investment returns are in excess of annual expenditures, the excess is retained in the endowment. 2018 endowment funds activity: $12,399,962 of the amount reported as 2018 contributions results from a change in presentation of the audited financial statements endowment footnote in 2018. In column (b), rather than adjusting the beginning of year endowment net assets, the adjustment is included in total contributions.

PART X, LINE 2:

The society recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the society had no uncertain tax positions that would require financial statement recognition or disclosure. The society is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to fiscal 2017.
