Form 990, part 1, line 1 description of organization mission:the waterfront alliance works to protect, transform, and revitalize the new york harbor and waterfront. It does so through three focus areas: 1) communication and collaboration 2) policy initiatives and 3) direct service.

Part iii, line 4a: 1)communications and collaborationmedia the waterfront alliance continues to enjoy outstanding success earning media exposure through our events, conferences, and general advocacy including coverage by outlets such as ny1 news, national public radio, the british broadcasting corporation, the new york times, crain's, the guardian, next city, new york daily news, and time out new york. This success has increased public awareness of the potential of our waterfront and has influenced public policy discussions as we work to create a more resilient city in the face of rising sea levels.we've also greatly expanded our social media reach to complement our traditional media tactics and have gained hundreds of twitter and facebook followers in the past year, creating followings of several thousand on each platform. In addition to our website's events calendar and our twice monthly waterwire e-newsletter, more and more people are turning to our social media networks to keep apprised of the latest waterfront news and events. 2016 achievements: we continue to be referenced and quoted in dozens of waterfront related stories and wrote an op-ed that was published by crain's in may about how to best fund waterfront development. Our city of water day festival received the most ever calendar listings (50) and press mentions (25) and included features in the new york times and front section of time out new york. Our waterwire e-newsletter, distributed twice a month, continues to produce high quality journalism covering a diverse range of waterfront interests and topics and is received by more than 10,000 subscribers. Alliance partnersthe waterfront alliance is now a coalition of more than 900 organizations, representing maritime businesses, architects and designers, environmental groups, community organizations, and recreational boaters, among others. 2016 achievements: we grew our alliance partners from nearly 900 at the end of 2015 to 944 as of september 2016. We continue to seek out new and engaged partners and are working our way towards a coalition of 1,000 partners just in time to celebrate our 10th anniversary in 2017. In july, we canvased our alliance partners to solicit their input for the next ten years of the waterfront alliance's work. In one word, what did respondents identify as needing the most improvement at the water? Access. Likewise, the biggest challenge facing the waterfront? Insufficient locations for direct contact with the water. We'll be using the results and continued discussions with our partners to help shape the next decade of our work on the waterfront. 2)policy initiativesferry transit programin february 2015, the waterfront alliance achieved one of its primary goals, as mayor bill de blasio announced plans for an affordable, frequent, citywide ferry service by 2018. In march 2016 mayor de blasio announced hornblower as the operator of the first citywide ferry service. 2016 achievements: -convened ferry advocates from across the city to discuss the formation of citizen-led rider committees to advise the city on citywide ferry service (october 2015) -provided public testimony and comment on the citywide ferry service deiswaterfront conferenceour annual waterfront conference is the new york metropolitan region's preeminent gathering for the waterfront, regularly attracting upwards of 700 attendees. Past conferences have explored topics such as transit equity via ferries, post-superstorm sandy response and recovery, water quality investments, and connecting local communities to the working waterfront. Each year, the waterfront conference promises a full day of discourse, workshops, and presentations focused on a broad waterfront theme. We added two new components to our 2016 waterfront conference: waterfront scholars and deep dives.waterfront scholarswhat does it mean to live in a coastal city in the 21st century? What should we do to make sure our waterfronts are accessible, resilient, and ecologica

Waterfront Alliance has the form 990 prepared by an outside accounting firm and has established the following process to ensure that the information reported is complete and accurate. The President, Treasurer, and Finance Committee meet with the outside accountant and review the form 990 in detail to ensure that it correctly reflects all activities and policies at Waterfront Alliance. The final version is sent to the Board of Directors prior to submission to the Internal Revenue Service.

Pt VI, Line 12C

The conflict of interest policy is applicable to directors, officers, and employees who can influence the actions of waterfront alliance. If an employee believes that they have a conflict, they should disclose it to the ceo, who shall bring the matter to the attention of the board. If a director believes they have a conflict, they should disclose it to the board chair, who shall bring it to the board's attention.the board shall determine whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to waterfront alliance. The decision of the board on these matters will rest in their sole discretion, and their concern must be the welfare of waterfront alliance and the advancement of its purpose.

The decision on salary of the CEO was taken by the full board on recommendation by the Executive Committee. Prior to discussion with the Executive Committee, the Treasurer and the Chairs of the Board and the Governance Committee reviewed comparable salary information researched by the Treasurer; performance reviews of the CEO compiled by the Governance Chair; the fiscal condition of the Organization; and prior salary history.
