“The delaware general corporation law, which is the law under which gbchealth was incorporated, was amended effective august 1, 2010. As a result of these amendments, gbchealth, as a delaware non-stock, not-for-profit corporation, is now required to have one or more members with voting rights. These voting rights include the right to elect directors and approve fundamental corporate changes (i.e., the merger or dissolution of gbchealth). Members of a non-stock, not-for-profit corporation are analogous to shareholders of a for-profit stock corporation, except that members do not have an ownership interest in gbchealth. In light of these new requirements, gbchealth implemented a membership structure under which all of gbchealth's directors will also serve as gbchealth's members. This structure will not impose any additional fiduciary liability on gbchealth directors as a member is not a fiduciary of gbchealth.”

In a typical year, gbchealth will lead or participate in some or all of the following activities: development of health-related corporate workplace policies; identifying and brokering public-private partnerships between business and under-resourced governments and communities; fostering private sector collaboration with the un and its global development priorities; hosting corporate dialogue and strategy sessions; researching and publicizing case studies and best practices; sharing status of public health issues in the global business community and stimulating dialogue through expert-driven event panels, teleconferences, and publications; providing global forums for thought leaders in business to interact and generate progressive ideas and solutions.”
