Mission

Breaking ground iii housing development fund corporation ("bg iii") was organized on october 24, 2000 under section 402 of the not-for-profit corporation law of the state of ny. Bg iii is a not-for-profit charitable organization exempt from income and excise taxes under section 501(c)(3) of the internal revenue code. Bg iii was formed for the charitable purpose of operating a housing project at 202 west 24th street, new york city, a building that was purchased through a loan from the city of new york department of housing preservation and development, which provides housing and social services to qualifying young adults, formerly homeless and low-income single adults.

Operation of a housing project to provide housing, access to job training and employment services to eligible young adults, formerly homeless & low income single adults.

CHANGES TO ORGANIZATION'S BYLAWS Breaking Ground III amended its bylaws in calendar year 2017 to clarify certain aspects of its Board governance and operation and to codify certain Board roles and responsibilities that had always been informally observed. These changes to the bylaws were as follows: - To authorize only the Board of Directors of Breaking Ground Housing Development Fund Corporation to nominate, approve, remove or replace (with or without cause) the Breaking Ground III Board of Directors; - To clarify roles and responsibilities of the organizations officers; - To authorize only the Board of Directors of Breaking Ground Housing Development Fund Corporation to approve the mortgage, purchase or sale of any real property on behalf of Breaking Ground III; - To require indemnification of officers and directors (to the fullest extent permitted by law). FORM 990, PART VI, SECTION B, LINE 11 Organization's process used to review form 990 THE FORM 990 WAS PREPARED BY AN INDEPENDENT ACCOUNTING FIRM IN CONJUNCTION WITH THE ORGANIZATION'S FINANCE DEPARTMENT. THE FORM HAS BEEN REVIEWED FOR COMPLETENESS AND ACCURACY REGARDING MISSION, PROGRAM ACTIVITIES, FINANCIALS AND GOVERNANCE BY MEMBERS OF THE CORPORATIONS MANAGEMENT. IT HAS ALSO BEEN DISCUSSED AND REVIEWED WITH THE BGI AUDIT CHAIR. THE FINAL VERSIONS WERE MADE AVAILABLE TO EACH MEMBER OF THE BOARD OF DIRECTORS PRIOR TO FILING WITH THE INTERNAL REVENUE SERVICE. DISCUSSION OF FORM 990 REQUIREMENTS, CONTENTS AND BOARD RESPONSIBILITIES OCCUR AT AN ANNUAL BOARD MEETING.

BREAKING GROUND FOLLOWS GUIDANCE THAT CLARIFIES THE ACCOUNTING FOR UNCERTAINTY IN TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN IN A TAX RETURN, INCLUDING ISSUES RELATING TO FINANCIAL STATEMENT RECOGNITION AND MEASUREMENT. THE HOUSING PROJECT PROVIDES HOUSING AND EMPLOYMENT SERVICES TO QUALIFYING YOUNG ADULTS WHO ARE FORMERLY HOMELESS, AND TO LOW INCOME SINGLE ADULTS. Built originally in 1904, The Christopher is the site of the former Robert McBurney YMCA, and was an important fixture in Manhattan's vibrant Chelsea neighborhood. Rehabilitated by Breaking Ground in 2004, The Christopher provides 166 units of permanent supportive housing for low-income or formerly homeless adults and persons living with HIV/AIDS. The Christopher also houses the Foyer Program, a 40 BED housing-based career development program targeting young adults ages 18-24 who are "aging out" of foster care or already homeless. Good Shepherd Services provides education, career and other assistance to residents of the Foyer Program which are specifically tailored to the circumstances of young adults preparing for independence.

BREAKING GROUND FOLLOWS GUIDANCE THAT CLARIFIES THE ACCOUNTING FOR UNCERTAINTY IN TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN IN A TAX RETURN, INCLUDING ISSUES RELATING TO FINANCIAL STATEMENT RECOGNITION AND MEASUREMENT. These changes to the bylaws were as follows: - To authorize only the Board of Directors of Breaking Ground Housing Development Fund Corporation to nominate, approve, remove or replace (with or without cause) the Breaking Ground III Board of Directors; - To clarify roles and responsibilities of the organizations officers; - To authorize only the Board of Directors of Breaking Ground Housing Development Fund Corporation to approve the mortgage, purchase or sale of any real property on behalf of Breaking Ground III; - To require indemnification of officers and directors (to the fullest extent permitted by law). FORM 990, PART VI, SECTION B, LINE 11 Organization's process used to review form 990 THE FORM 990 WAS PREPARED BY AN INDEPENDENT ACCOUNTING FIRM IN CONJUNCTION WITH THE ORGANIZATION'S FINANCE DEPARTMENT. THE FORM HAS BEEN REVIEWED FOR COMPLETENESS AND ACCURACY REGARDING MISSION, PROGRAM ACTIVITIES, FINANCIALS AND GOVERNANCE BY MEMBERS OF THE CORPORATIONS MANAGEMENT. IT HAS ALSO BEEN DISCUSSED AND REVIEWED WITH THE BGI AUDIT CHAIR. THE FINAL VERSIONS WERE MADE AVAILABLE TO EACH MEMBER OF THE BOARD OF DIRECTORS PRIOR TO FILING WITH THE INTERNAL REVENUE SERVICE. DISCUSSION OF FORM 990 REQUIREMENTS, CONTENTS AND BOARD RESPONSIBILITIES OCCUR AT AN ANNUAL BOARD MEETING.

All submissions are reviewed by Human Resources to determine if a conflict exists; when a conflict arises, the individuals affected are prohibited from participating in the decision-making process related to any transaction occurring with the conflicted organization.
