Form 990, part iv, line 4 - significant changes to governing documents changes were made to the organization's bylaws and to the organization's policy regarding conflict of interest and related party transactions (the "coi policy") in order to address and comply with the 2016 amendment to the new york state nonprofit revitalization act of 2013 (the "npra"). Many of the changes to the bylaws update procedures for voting and requirements for taking certain board actions; these changes also address changes to the coi policy as required by the npra. The changes to the coi policy update terminology and verbiage as required by the npra, define related party transactions, and update certain procedures under the coi policy. The following specific significant changes were made: 1.the appointment procedure for members of the executive committee or a similar board committee was updated to require a majority of the entire board make the appointment. Further, the requirement was added that at least three-quarters of the directors present at the time of the vote must make the appointment, if the board has more than 30 members and if a quorum is present. Board committees were also restricted from taking certain enumerated actions on their own (article ii, section 12). 2.the coi policy has been updated in accordance with the npra. As such, references to the same were appropriately updated in the bylaws (article iii, section 1). 3.the board may now appoint directors to serve as ex-officio members of board committees even if such directors hold other positions within the corporation (article iv, section 3). 4.the chair or chair-elect of the board may be an employee of the corporation if two-thirds of the board approves such employee serving as chair or chair-elect and the basis for approval is contemporaneously documented in writing. No such employee will be considered an independent director (article iv, section 3). 5.terms contained in the coi policy were updated to be in accordance with terminology in the npra. 6.the coi policy added a new paragraph to provide certain enumerated transactions which will not be considered related party transactions ((i) de minimis transactions, (ii) transactions not customarily reviewed by the board in the ordinary course of business and available to others on the same/similar terms, or (iii) transactions benefiting related parties solely as members of the class of beneficiaries the corporation intends to benefit) (coi policy, article iii). 7.the definition of "key person" was added to the coi policy (coi policy, article iii). 8.the definition of "independent director" was added to the coi policy (coi policy article iv, paragraph 6). 9.the procedure for board deliberation upon a related party transaction was updated to be in agreement with the npra; specifically, the board minutes regarding such deliberation will provide that the board identified and considered alternative facts and that if the board approves the transaction, it found the transaction to be fair, reasonable, and in the corporation's best interest (article iv, paragraph 9).

The compensation committee is a standing committee of the board. The chair of the governing board is also the chair of the executive committee and the compensation committee. The compensation committees responsibility is to discharge the boards responsibility for determining the adequacy and reasonableness of compensation paid to the president and other disqualified persons, if any, under section 4958 of the internal revenue code. The organization engaged the firm of towers watson, a consulting company specializing in executive compensation, to prepare a report including comparable data for executives in comparable positions. The ceo's compensation was reviewed by the compensation committee based upon towers watson's compensation report and recommendations submitted to the executive committee for inclusion in the annual budget to be approved by the governing board. No persons with a conflict of interest were involved in the compensation process.

The compensation committee approves compensation of the ceo and any disqualifying persons. The president is responsible for determining the compensation for all other employees. Compensation for such employees is recommended to the executive committee for inclusion in the annual budget to be approved by the governing board.
