MATTHEW BOX BEGAN HIS TERM AS INTERIM CFO ON JUNE 11, 2017. MATTHEW BOX IS A MANAGING DIRECTOR WITH ALVAREZ & MARSAL, AND HIS SERVICES AS INTERIM CFO WERE PROVIDED PURSUANT TO A CONTRACT WITH ALVAREZ & MARSAL. VNSNY HAD A PRIOR BUSINESS RELATIONSHIP WITH ALVAREZ & MARSAL THAT PRECEDED MATTHEW BOX'S APPOINTMENT AS INTERIM CFO. MATTHEW BOX RECUSED HIMSELF FROM ANY DISCUSSIONS THAT THE MANAGEMENT OF VNSNY HAD REGARDING CONTRACTS WITH ALVAREZ & MARSAL. IN 2017, ALVAREZ & MARSAL WAS PAID $730,250 FOR THE SERVICES PROVIDED BY MATHEW BOX AS INTERM CFO OF VNSNY. Form 990, Part VI, Section A, line 6 VISITING NURSE SERVICE OF NEW YORK IS THE SOLE CORPORATE MEMBER.

Visiting nurse service of new york ("vnsny") is the sole corporate member. The member holds annual meetings to elect the directors and the member may take action as required or permitted under the organization's bylaws or under any provision of law.

The audit committee of vnsny and its affiliated organizations reviewed the form 990. A complete copy of the organization's final form 990, including all required schedules, as ultimately filed with the irs, was provided to each voting member of the board before its filing with the irs.

The taxpayer does not have a separate policy but does follow the policies and procedures of vnsny. The procedures undertaken at the vnsny level are described below: the chief and privacy compliance officer reviews the disclosure statements completed annually by each officer, director, and key employee, and consults with the executive vice president, general counsel & chief risk officer as appropriate. Any potential conflicts are vetted with the ceo, executive vice president, general counsel & chief risk officer and, as appropriate, the chair of the board. Specific follow-up action is taken on a case-by-case basis.

THE PROCESS FOR DETERMINING THE INDIVIDUAL COMPENSATION LEVELS OF VNSNY'S TOP MANAGEMENT, INCLUDING THE CEO, AND ALL OFFICERS MEETS THE THREE REQUIREMENTS OF THE REBUTTABLE PRESUMPTION UNDER TREAS. REG. 53.4958-6. A COMPENSATION COMMITTEE IS APPOINTED BY THE BOARD OF DIRECTORS FOR THE PURPOSE OF ASSISTING THE BOARD TO FULFILL ITS RESPONSIBILITY TO VNSNY AND THE COMMUNITY TO ENSURE THE COMPENSATION IS IN ACCORDANCE WITH VNSNY'S POLICIES. THE COMMITTEE IS COMPRISED OF FOUR DIRECTORS WHO ARE INDEPENDENT OF MANAGEMENT AND VNSNY AND FREE OF ANY CONFLICTS OF INTEREST THAT WOULD INTERFERE WITH THEIR EXERCISE OF INDEPENDENT JUDGMENT. PRIOR TO MAKING COMPENSATION DECISIONS, THE COMMITTEE OBTAINS AND RELIES UPON APPROPRIATE DATA AS TO COMPARABILITY. THE COMMITTEE RETAINS AN INDEPENDENT COMPENSATION CONSULTANT AND UTILIZES LOCAL AND NATIONAL COMPENSATION SURVEYS TO ASSIST IN SETTING COMPENSATION LEVELS. THE COMPENSATION COMMITTEE ADEQUATELY AND ON A TIMELY BASIS DOCUMENTS THE BASIS FOR SETTING COMPENSATION WITH THE MAKING OF THE DETERMINATION. When new executives are hired by VNSNY and related organizations, the positions compensation is reviewed on an ad-hoc basis by an independent compensation consultant. Partners in care mission provide high quality, cost-effective home care services and products to patients in other vnsny programs and to the private marketplace; support the development of innovative services and new models of care that enable people to function as independently as possible in their community; and contribute to vnsny's commitment to charitable and compassionate care. Partners in care shares the public-service goals of its exempt-purpose activities with vnsny and the other related 501(c)(3) corporations. In 2017, vnsny and its affiliates - together with its generous supporters and community partners - provided over $47 million in charitable care and community benefit programs. These wide-ranging programs improved the lives of tens of thousands of new yorkers, young and old, and provided free and discounted direct home care services to more than 8,500 under- and uninsured individuals. (see vnsny form 990 for complete list of charitable programs.)

Form 990, Part III, line 4A

Partners in care is a new york state licensed home care services agency. As such, it furnishes home health aides to its affiliated organizations, visiting nurse service of new york home care ii, vnsny choice community care and vnsny hospice care. It also provides services to the community at large. Partners in care offers a wide array of home health care services, including home health aides (personal care and general assistance, bath service, helping patients get to and from doctor appointments) and skilled professional services (rn/lpn care; st; pt; ot; sw administering medications, treatments and nursing assessments; assessments for nursing home eligibility). In 2017, partners in care provided staff to serve an average of over 7,000 patients each day. Partners in care provided over 1,936,000 hours of nursing and personal care to private care individuals, mltcs and corporations in new york and over 10.6 million hours of service to patients of the affiliates of the visiting nurse service of new york. Partners in care employed 9,700 employees, the majority of whom were hhas, along with per diem professionals (rns, lpns, nutritionists, pts, and msw) and office based staff. Partners in care serves all five boroughs of new york city, as well as nassau, westchester, suffolk and rockland counties. The exemplary work performed by partners in care continued to garner favorable stories in the press in 2017, including successful media placements regarding home health aides, as well as partners in care nurses and senior management appearing on major media outlets. The coverage has been extremely beneficial to promoting the value of a career in both nursing and as a home health aide, which is an important objective of vnsny and one that contributes significantly to the greater public good. In addition to its critical service delivery achievements in 2017, partners in care was a vital player in numerous community activities, participating in events such as food and toy drives for city harvest, ny foundling hospital, and like organizations, and in providing flu vaccinations to adults throughout new york city and the surrounding counties.

Schedule D, Part X, Line 2

New partners inc. Has been determined by the internal revenue service to be an organization described in internal revenue code (the code) section 501(c)(3) and, therefore, exempt from federal income taxes on related income pursuant to section 501(a) of the code. Partners recognizes income tax positions when it is more likely than not that the position will be sustainable based on the merits of the position. Management has concluded that there are no material uncertain tax positions or tax liabilities that need to be recorded as of december 31, 2017 and 2016. H.r. 1, originally known as the tax cuts and jobs act (the act), was signed into law on december 22, 2017. The act contains various provisions affecting both for-profit and not-for-profit entities. Tax-exempt entities are impacted in part by the inclusion of a new excise tax on excess compensation for covered employees and changes to unrelated business income. Management of preliminary assessment is that there is no impact on the financial statements as of december 31 2017 but is currently assessing the overall impact of the act and its impact on the financial statements, including for 2018.
