Governance Explanations

Form 990, Part VI, Section A, Line 6

The association's bylaws creates various different classes of members as follows: (1) professional members - individuals employed in the computing field or in a computing related field such as a college professor teaching computer science or software engineer. Professional members have full voting rights to elect members to the association's governing body. Professional members may also hold office at the association. (2) institutional members - institutional members pay annual dues and receive association publications; these members may nominate one person will become a member. (3) student members - both undergraduate and graduate students seeking an education in a computing science field. Student members have no voting rights and may not hold office. (4) affiliate members - affiliate members pay annual dues to an acm unit (special interest group or chapter). Affiliate members do not have voting rights or the right to hold office.

Form 990, Part VI, Section A, Line 7A

Article 7 of the constitution elections the president, vice-president, secretary/treasurer and as many members-at-large as are required to fill vacancies for the members-at-large on the council as provided in article 6, section 1 and article 8, section 1 of the constitution, shall be elected as of june 30 in each even-numbered year by the members of the association. The constituency eligible to vote for other members of council shall be defined in the bylaws. Balloting shall be conducted and recorded as provided in the bylaws. No person may hold two council positions.

The members of the association must ratify any changes to the acm constitution with a two thirds majority vote of the ballots submitted and those ballots must comprise at least 10% of the eligible voting members.

The association's form 990 is prepared by a nationally recognized independent accounting firm in conjunction with the association's financial department. The form 990 is provided to acm's council of officers and council members for their review and comment in advance of its filing with the internal revenue service.

While the parent organization has a conflict of interest policy that governs the actions of its officers, directors and key employees, each individual chapter may (or may not) have its own conflict of interest policy in place. As acm (the organization responsible for the filing of this form 990) does not have the capacity to poll its hundreds of chapters to determine whether such policies are in place, it is responding, conservatively, no to this question. Form 990, part vi, line 13 & 14: while the parent organization has both a whistleblower and document retention policy in place, acm does not have the necessary insight into whether each individual chapter has adopted a whistleblower and/or a document retention policy; accordingly, it is answering these questions no.

Form 990, Part VI, Section C, Line 19

The hundreds of acm chapters may or may not make their governing documents, conflict of interest policy and financial statements available to the public. Acm does make the chapters' form 990 group return available to the public at its place of business; in addition, the form 990 is made publicly available on www.guidestar.org.

President, gabriele kotsis, is a non-voting member of the board of directors for most board matters; however, the president is authorized to cast the deciding vote in those rare instances where the board is deadlocked in its vote.

The form 990 group return filed for acm's various chapters includes the financial activity of those chapters who report their financial data back to acm. Acm employs very rigorous due diligence procedures to obtain annual financial information, but is beholden to the conscientiousness of each respective chapter to report their financial information in a timely fashion. Acm, the world's largest educational and scientific computing society, delivers resources that advance computing as a science and a profession. Acm provides the computing field's premier digital library and serves its members and the computing profession with leading-edge publications, conferences, and career resources. Acm chapters exist as a means of achieving those purposes as set forth in the constitution, the computing and information processing community, and the public, at the local level. Through technical meetings and lectures, chapters promote the free interchange of information among their members and the larger community in which they serve. Through professional development seminars and tutorial training sessions, chapters develop and maintain the competence of computing and information processing personnel in their area. Acm chapters encourage membership and participation in the association as well as at its international level. Chapters also serve as a training ground for members who wish to become involved in the volunteer management of the association at a higher level.
