Governance Explanations

Form 990, Part VI, Section B, Line 11B

An external audit firm prepares the 990-tax return that is reviewed by the executive director and the deputy director of finance to ensure that it is consistent with the material provided during the audit. The audit committee consisting of trustees, review the 990 before it is sent to the entire board of trustees for approval prior to filing.

Form 990, Part VI, Section B, Line 12C

The museum's conflict of interest policy is contained within its code of ethics policy. This policy applies to all trustees who are required to formally acknowledge receipt and understanding of the policy. The code of ethics policy states the process for reporting conflicts of interest to the executive committee who may impose restrictions on deliberations or transaction decisions. Employees are required to formally acknowledge receipt of the code of ethics policy that contains the definition of a conflict of interest. This policy states the process for reporting conflicts of interest to the director and senior leadership team, consisting of the director of hr & diversity, chief financial officers, and deputy directors, who determine what action is to be taken. General counsel is available for review prior to any action taken.

Form 990, Part VI, Section B, Line 15A

Tthe executive and finance committee of the board reviews the annual payroll for the museum and approves planned increases. The museum director's salary is determined by the executive committee in consultation with the finance committee. Data from comparable institutions that is published and reported in 990's as well as experience is considered when determining the salary. Staff salaries are determined by the museum director, director of hr & /diversity and the chief financial officer. Staff salaries are based on industry standards, museum comparisons, and cost of living expenses.

Financial Statement Notes

PART III, LINE 4:

The museum maintains a collection of works of contemporary art objects. A description of the contents of the permanent collection is maintained by the registrar. The museum has insurance coverage for items on its premises, in storage, in transit and on loan at other locations. The value of the collection, which was acquired through purchases and contributions since the organization's inception, is not reflected as an asset on the statement of financial position. Purchases of collection items are expensed in the year of acquisition. Contributions of collection items are not recognized in the statement of activities. Proceeds from deaccessions or insurance recoveries are reflected on the statement of activities based on the absence or existence and nature of donor-imposed restrictions. The collection is held for public service rather than financial gain, protected and preserved, and subject to an organizational policy that requires the proceeds from sales of such items to be used to acquire other items for collections.

PART V, LINE 4:

The endowment is intended to support the museum's education programs and general operations.
