Mission and Program Overview

Mission

To develop, promote and sustain dance, music and opera productions by mark morris, and to serve as a cultural resource to engage and enrich the community.mmdg performs mark morris original works on tour in venues both across the u.s. And internationally. Mmdg also offers several programs that provide dance and music classes to its neighbors in brooklyn and in cities on tour. Mmdg leads weekly dance classes for seniors and young people living in local public housing, conducts long-term residencies in brooklyn public schools, provides customized dance workshops for people with parkinson's disease, and shares its beautiful rehearsal studio with hundreds of other dance companies.

To promote and sustain dance, music and opera works by mark morris and serve as a cultural resource to engage and enrich the community.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

Discalced, inc. Has its form 990 prepared by an outside accounting firm. It is then reviewed by the cfo and electronically sent to the finance/audit committee for their review and comment. Any required updates are made, and a final complete copy is provided to the entire board of directors prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The board of directors has a conflict of interest policy applicable to all directors, officers, and key employees. All applicable individuals are required to sign a conflict of interest agreement annually, disclosing any possible conflict of interest and are given the opportunity to disclose all material facts to the board. After disclosure of the financial interest and all material facts, and after any needed discussion with the interested person, he/she leaves the meeting of the board or the relevant committee while the determination of a conflict of interest is deliberated and voted upon. The remaining directors or members of the committee decide if a conflict of interest exists by a majority vote. The interested person is not eligible to vote on matters directly pertaining to the business to be transacted. The deliberation and decisions are recorded in the minutes of the board.

Form 990, Part VI, Section B, Line 15

Discalced, inc. Has a compensation policy and a compensation committee was established for determining the compensation for the executive director, cfo, and other officers. The policy mandates that executive compensation be periodically reviewed by the compensation committee and that the committee should be free of conflicts of interest. The approving compensation committee reviews appropriate and adequate data and uses a variety of information and studies that are available to determine that the appropriate level of compensation is being paid to its executives and officers. The comparability sources that the organization used to establish compensation are dance usa, non-profit coordinating committee of new york, and professionals for nonprofits. The compensation committee's decision on the amount of compensation paid is required to be adequately documented in a contemporaneously written format that documents the date of the decision, the members present during the decision and those who voted on it, the full terms of the compensation that was approved, and the comparable data used and relied upon to make the decision. The process was last time undertaken in fiscal year 2024.

Discalced, inc. Has a committee that is responsible for the oversight of the audit of its financial statements and the selection of an independent accountant. This process has not changed from the previous year.

FORM 990, PART I, QUESTION 5, AND PART V, QUESTION 2A:

The organization contracted with a professional employer organization (peo) for services, including but not limited to, payroll, timekeeping, employee benefits, hr administration and workforce regulatory compliance needs. As the employer of record for tax purposes, forms w-2 and w-3 are issued by the peo and filed under the peo's federal ein. In this co-employment arrangement, the organization is the common law employer and, accordingly, compensation is reported on form 990, part vii, section a and part ix, lines 5-10.

Financial Statement Notes

PART III, LINE 1A:

Discalced has received contributions of various works of art and photographs, many of which were created by the donors. The donors have assigned values to the pieces totaling $110,000. Discalced has chosen to value only those works of art as contribution support and other assets for which a qualified independent appraisal has been obtained. Only one piece, valued at $15,000, contributed in a prior year, met this requirement and is included in other assets on the statement of financial position and is not depreciated.

PART III, LINE 4:

Works of art and photographs are used to decorate the dance studio. These works of art highlight dance works and foster an appreciation of art and dance.

PART IV, LINE 2B:

The organization holds tenant security deposits.

PART V, LINE 4:

The intended use of the organization's endowment is to provide long-term ongoing support for its various programs.

PART X, LINE 2:

Discalced recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Management has determined that discalced had no uncertain tax positions that would require financial statement recognition or disclosure. Discalced is no longer subject to examinations by the applicable taxing jurisdictions for tax years prior to fiscal 2021.
