Governance Explanations

Form 990, Part VI, Section A, Line 4

In 2024, the board voted to amend the bylaws to make a slight change to the board leadership policy. The change allows for co-leadership between two elected board presidents, rather than just one president. This is similar to what already allowed for the presence of two vice presidents.

Form 990, Part VI, Section B, Line 11B

The final draft of the form 990 is distributed to the audit committee and executive committee and reviewed during the meeting scheduled before filing. It is then circulated to the full board via email prior to its filing.

Form 990, Part VI, Section B, Line 12C

Organization currently has in place a conflict of interest policy which it annually monitors and enforces. The board currently mandates that all members of management and the governing body annually sign a conflict of interest policy and disclose any potential or actual conflicts that may exist, the signed conflict of interest policy is kept on file and board members may not vote on an issue on which they have a conflict.

Aligned with our goal to provide a clear link between organizational goals, objective measurements of performance and compensation, each january the board will set the organizational goals for the year and work with the executive director to see those goals reflected in each staff member's annual performance goals. Aligned with our goals to ensure external competitiveness as a great work place and attract a qualified and high quality workforce and retain effective and motivated em-ployees, in september the executive committee will conduct as an assessment of comparable salary and benefits data for the executive director, such as data availa-ble from salary and benefit surveys, to compare ourselves with nonprofit employers with similar missions, and of a similar budget size in our geographic area. The exec-utive director will conduct a similar exercise for the staff. In november the executive director and board president will start an annual per-formance review process, using the organizational goals as a guide. The executive director will share with the board likely proposed adjustments in compensation for staff. For the review of the executive director, the president will solicit input from the board, and staff as needed, and report back to the executive committee and then the board in executive session. The executive committee will make a recommenda-tion to the board on the compensation for the executive director and the board will consider all the compensation recommendations in context, aligned with our goal to advance internal and external equity. Aligned with our goal to make decisions that are affordable for the organization in both the short and long term, in december the board will pass a budget that reflects adjustments in compensation for the following year.
