The executive assistant to the president is responsible for distribution of policies and the subsequent collection of responses. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists and what further actions should be taken.”

The benchmark is given annually to the compensation committee of the board of directors who meet to evaluate the ceo performance at the end of the year and analyze the salary structure to determine salary increases, if applicable.
