Governance Explanations

Form 990, Part VI, Section A, Line 4

Hudson health plan, inc.s bylaws were updated effective december 10, 2015. The following revisions were made: 1. Article iii, board of directors, section 3.2, number and election (a) number. The number of directors constituting the entire board was reduced from nine (9) to five (5). 2. Article iii, board of directors, section 3.4, annual and regular meetings. The number of meetings was changed from one meeting each quarter to two (2) meetings per calendar year. The number of regular meetings per year was reduced from 3 to 1. Form 990, part vi, section a, lines 6, 7a & 7b the organization is a membership (not a stock) not-for-profit corporation under new york state law. The organization's sole corporate member is mvp health plan inc., a related not for profit entity. Form 990, part vi, section a, line 7a the organization's sole corporate member elects the members of the governing body annually.

Form 990, Part VI, Section B, Line 11

The form 990 is reviewed by the organization's management (i.e. A team comprised of representatives of the finance, human resources, and legal affairs departments) in consultation with the organization's tax accountants at kpmg llp. The financial review is based on the organization's audited financial statements for the relevant time period. Before the form 990 is filed with the irs, the audit committee of mvp health plan, inc.'s board of directors reviews the form 990 and provides a copy of the same to the organization's full board of directors.

Form 990, Part VI, Section B, Line 12C

As a term and condition of employment/appointment, upon employment/appointment and annually thereafter, each employee and officer of the organization is required to complete a conflict of interest disclosure form, providing management with sufficient information about their personal interests and relationships that management can: 1) make a determination as to whether an actual or perceived conflict of interest exists 2) monitor work assignments/responsibilities to avoid placing the individual in a position where there may be a question as to objectivity and to avoid any appearance of impropriety. Employees and officers are also obligated to promptly notify their managers of any changes to their disclosures throughout the year. Directors of the organization are also required to complete a conflict of interest disclosure form upon appointment/election and annually thereafter. Directors' conflict of interest disclosure forms are submitted to the legal affairs department. The legal affairs department tracks these forms to ensure that each and every director completes one. The legal affairs department then reviews the directors' disclosures, prepares a chart listing each one, and provides a copy of the chart to each director so that all directors are made aware of all directors' potential conflicts of interest. When an issue which presents a potential conflict of interest comes before the board of directors, the affected director must recuse himself/herself from all related votes or approvals.

An independent consultant was hired to evaluate the compensation arrangements for the ceo and the ceo's direct reports and compare them to industry standards to determine/confirm that the compensation structure is reasonable. Such compensation arrangements are subject to the final approval of the compensation committee. This process meets the requirements of the rebuttable presumption standard.

Form 990, Part III, Line 3

Hudson health plan, inc. (hhp) is a ny not-for-profit corporation licensed as a prepaid health services plan under article 44 of the public health law. Hhp served medicaid managed care (mmc), family health plus, and child health plus (chp) business in the mid-hudson region of nys. In 2013, mvp health plan, inc. Became the sole corporate member of hhp. Consistent with standard practice, nys department of health (doh) required that mvp consolidate its mmc and chp business in one entity. Therefore, all appropriate regulatory approvals were obtained (i.e. Doh, nys department of financial services, nys attorney general), and as of january 1, 2016, the hhp membership migrated to mvp health plan, inc. Though hhp did not have any members, hhp continued to conduct claims run out throughout 2016.

Part X, Line 2

To account for uncertainty in income taxes, a position can be recognized in the financial statements only when it is more likely than not that the position will be sustained upon examination by the relevant taxing authority based on the technical merits of the position. A position that meets this standard is measured at the largest amount of benefit that will more likely than not be realized upon settlement. A liability is established for differences between positions taken in a tax return and amounts recognized in the financial statements. The unrecognized tax benefits of hudson are not expected to significantly change over the next twelve months. Hudson's policy is to recognize interest and penalties related to income tax matters as a component of pretax income. Such amounts were not material at december 31, 2016 and 2015.
