“Organizational policies, including the conflict of interest policy, are reviewed annually by the organization's board of directors and executive management team to ensure compliance. If a conflict of interest should arise, the interested board member shall disclose all material facts to the board of directors, and shall not be present during board discussion or decision on the matter, other than when asked to respond to inquiries at the discretion of the board of directors.”
