Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee consists of the officers of the corporation and other persons as required. The Executive Committee has the authority to act on behalf of the Board in the event of crisis, appoint a temporary Chairperson to preside at a meeting of the Board in the absense of the Chairperson, and take such other actions as may be requested by the Board except for filling vacancies in the Board or amending the Articles or Bylaws.

Form 990, Part VI, Section A, line 2

Mary Schaller and Paul Schaller have a family relationship.

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared by an independent CPA firm, reviewed in detail by the Executive Director and audit committee, and then presented to the full board prior to being filed with the IRS.

Form 990, Part VI, Section B, line 12C

Trustees and officers are required to annually report conflicts of interest and are advised to seek guidance from the board chair regarding any potential or pending actions that may create a conflict of interest. The conflict of interest declaration statements are reviewed by the board chair and reported to the board of trustees. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.

Form 990, Part VI, Section B, line 15A

Line 15a - The independent board approved the President's compensation, and comparability data was used. The process and decision were recorded in the board minutes. The Interim Executive Director was not subject to the above noted process during the current fiscal year, but will be going forward. Line 15b - The organization did not compensate any other officers or key employees. Therefore, this line was answered no in accordance with the instructions.

Form 990, Part VI, Section C, line 19

The governing documents, conflict of interest policy, and financial statements are available upon request.

IRS990/Desc0In 2017-2018, Q Place trained and supported hundreds of Christians across the U.S. and abroad to start small groups for spiritual seekers, coached several pastor cohorts to develop missional communities in their churches, and launched a refined process to train volunteer catalysts. The ministry built out its "9 Arts of Spiritual Conversations" line of resources to train Christians in churches, distributed Bible study resources for groups of spiritual seekers, provided tools for group leaders free of charge on the internet, hosted informational webinars, conducted online coaching and followup to help Christians grow in the core concepts of Q Place, and set the groundwork for a citywide evangelism initiative called Explore God Chicago. All of its activities fall under its mission to mobilize Christians to facilitate group discussions with spiritual seekers so they can find God as revealed in the Bible.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0The Executive Committee consists of the officers of the corporation and other persons as required.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1Mary Schaller and Paul Schaller have a family relationship.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2The Form 990 is prepared by an independent CPA firm, reviewed in detail by the Executive Director and audit committee, and then presented to the full board prior to being filed with the IRS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3Trustees and officers are required to annually report conflicts of interest and are advised to seek guidance from the board chair regarding any potential or pending actions that may create a conflict of interest. The conflict of interest declaration statements are reviewed by the board chair and reported to the board of trustees. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4Line 15a - The independent board approved the President's compensation, and comparability data was used. The process and decision were recorded in the board minutes. The Interim Executive Director was not subject to the above noted process during the current fiscal year, but will be going forward. Line 15b - The organization did not compensate any other officers or key employees. Therefore, this line was answered no in accordance with the instructions.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5The governing documents, conflict of interest policy, and financial statements are available upon request.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6The organization's Board assumes responsibility for oversight of the audit of its financial statements and selection of its independent accountant. This process has not changed since the prior year.
