Form 990, Part VI, Section A, Line 6

The pelham leasing corporation (the "corporation") is a stock corporation. The pelham country club (the "club") owns 100% of the total issued and outstanding shares of capital stock of the corporation.

Form 990, Part VI, Section A, Line 7A

The annual meeting of the members shall be held during the first two weeks in april of each year at 7:30 in the evening at the clubhouse in pelham manor, new york or at such other place as the board of governors shall determine, for the purpose of electing members of the board of governors and transacting such other business as may properly come before it. Special meetings of members shall be called by order of the president upon the resolution of the board of governors or whenever the president is requested to do so by not less than fifty members who are entitled to vote.

Such request shall be in writing, and shall state the business it is proposed to transact at the officers and board members may be removed for cause by an affirmative vote of two-thirds of the full board or by an affirmative vote of a majority of a quorum of the members eligible to vote at the annual meeting. Any twenty (20) or more members of the club, entitled to vote, may nominate a complete or partial slate of governors in accordance with the provisions of section 2 hereof to be voted upon at the annual meeting by posting such slate over their signatures to the secretary of the board of governors.

No officer, member of the board of governors or committee member of the club shall directly or indirectly benefit financially from or possess an interest in any contract or transaction relating to the property, facilities or operation of the club or furnishing of supplies, equipment or services to the club unless authorized by the concurring vote of at least three-quarters of the board of governors, exclusive of the vote of any interested officer or member of the board of governors. Each board of governors and key employee should sign the conflict of interest policy. The general manager shall at the january board meeting make the board of governors aware of members with whom the club has business dealings and will show the substantiality of reasons (i.e., other bids and reasons of involvement). Officers and board members of the club sign a conflict of interest letter as part of the club's annual audit.
