Governance Explanations

FORM 990, PART VI, SECTION B, LINE 11B:

Before filing, form 990 is compiled by the organization's independent accountants and reviewed by management (staff accountant and vice president, finance). Form 990 is provided to the board after filing with irs. Time constraints prevent a distribution in advance, and the board does not primarily provide an internal control function for this procedure.

FORM 990, PART VI, SECTION B, LINE 12C:

All new employees must sign a form acknowledging receipt and understanding of policy. In addition, new patents by related parties are reviewed with legal counsel. Annually the organization circulates the policy in written form to its employees and requires their signed acknowledgement.

FORM 990, PART VI, SECTION B, LINES 15A AND 15B:

There is a compensation grade system that is evaluated against compensation studies every 2-3 years. Compensation must be approved by executive task group of board of directors. Approval of compensation is documented by the signed authorization of the members of the executive task group, which meets each year prior to the effective date of changes in the compensation plan.

FORM 990, PART VI, SECTION C, LINE 19:

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

Under asc 740, income taxes, an organization must recognize the financial statement effects of a tax position taken for tax return purposes when it is more likely than not that the position will not be sustained upon examination. Copper development association, inc. Does not believe it has taken any materially uncertain tax positions and, accordingly, it has not recorded any liability for unrecognized tax benefits. The organization has filed for and received income tax exemptions in the jurisdictions where it is required to do so. For the year ended december 31, 2021, there were no interest or penalties recorded or included in the statements of activities and changes in net assets. The association is no longer subject to income tax examination by u.s. Federal, state, and local tax authorities for years before 2018, which is the standard statute of limitation look-back period.
