“The association uses a management company to manage and administrate their day-to-day affairs.”

“Bma has 2,400 members, including individuals, corporate, nonprofit and government. Members shall have the right to vote, either in person or by proxy, on any and all matters to be submitted to a vote of the members, and each member having such voting rights shall be entitled to one vote on each matter submitted to a vote of the members. Corporate members shall each be entitled to one vote regardless of the number of individual employee members.”

“The officers of the association are elected to office annually by a majority vote of the total membership.”

“Amendments to the bylaws need to be approved by a two-thirds vote of the board members present, providing there are at least nine members voting in favor.”

“The executive director reviews and signs before sending it to the board for their approval prior to filing.”

“Any newly elected officer must fill out a conflict of interest form within 30 days after election. The executive director will ensure completion of the form within an appropriate time period. If a conflict of interest were to happen as yearly updates are required to be reported to the chairman, that person will be asked to be excused from participation in the decision making or resign from his/her position. If the person refuses to resign, they are subject to removal from their position.”
