“The organization amended its bylaws to in fiscal year 2015 and the following changes were made. 1. If a board member misses more than three consecutive meetings of the board, unless a majority of directors have excused such director from attendance may constitute case for removal. Failure to notify the corporation of a conflict of interest, financial interest or related party transaction may constitute cause for removal. 2. Each member of the board of directors shall have one (1) vote. 3. The audit and corporate governance committee now must be composed of at least three members of the board of directors who are independent directors. With regard to matters relating to conflicts of interest and whistleblower protection the committee shall be responsible for strict adherence to any enforcement of the corporation's conflict of interest and whistleblower policy.”

“Any person registering to participate in programs at the ywca must first become a member. Members however have no voting rights nor do they have input regarding operations.”

“The ywca white plains & central westchester inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the members of the audit & governance committee for review. After the finance committee receives and approves the 990, it is electronically sent to the entire board for review before it is filed.”

“The conflict of interest policy is distributed annually to all board members and officers. Each board member is required to sign an acknowledgement form with any relevant information. If a conflict were to occur during the year, the board member/officer is required to disclose the information regarding the potential conflict to the entire board for discussion. All questions to whether a conflict of interest exists will be resolved by a vote of the board in which the interested individual may not vote.”

“The compensation and performance of the executive director of the ywca is reviewed by the executive committee of the board of directors. The members of the executive committee are independent. The executive committee periodically meets to discuss the executive director's compensation and performance. At those meetings the executive committee also reviews comparable data from various salary surveys. The matters discussed at the meetings are documented in a memorandum by the board secretary and reported to the board of directors. This process was last conducted in 2015.”

“The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation, form 990, form 1023, and by-laws are also available upon written request or by calling the organization directly.”
