Form 990, Part VI, Line 11B

Form 990 review: the office of finance works closely with kpmg llp, as paid preparer of fordham's tax-related filings, to prepare the form 990. Once prepared, the form undergoes a series of reviews by senior financial staff and leadership before submission to the executive committee of the board of trustees for review and approval. The board of trustees has delegated the responsibility for reviewing the return to the executive committee. Following a formal presentation to the executive committee and question and comment period, the return is approved and a copy of the final draft of the form 990 is provided to the full board of trustees prior to its filing.

Form 990, Part VI, Line 12C

Conflict of interest review: the university has a written conflict of interest policy covering all trustees, officers, and employees that requires, among other things, no individual may participate in a discussion or decision on any matter in which he or she has a material financial interest. All trustees, officers and individuals who have signing authority are required to certify compliance with the conflict of interest policy on an annual basis and to indicate whether the university does business with an entity in which they have a material financial interest. When such relationships exist, measures are taken to mitigate any actual or perceived conflict, including requiring that such transactions be conducted at arm's length, for good and sufficient consideration, based on terms that are fair and reasonable to and for the benefit of the university.

COMPENSATION REVIEW: COMPENSATION FOR THE UNIVERSITY'S PRESIDENT IS REVIEWED ON A REGULAR BASIS BY A COMPENSATION COMMITTEE OF THE BOARD OF TRUSTEES USING SALARY DATA FROM SIMILAR INSTITUTIONS. ONCE DETERMINED, THE PRESIDENT'S PROPOSED COMPENSATION IS SUBMITTED FIRST TO THE EXECUTIVE COMMITTEE, WHICH CONSISTS OF INDEPENDENT BOARD MEMBERS, THEN TO THE FULL BOARD OF TRUSTEES, FOR REVIEW AND ACCEPTANCE. The most recent review occurred June 12, 2018. COMPENSATION FOR OTHER UNIVERSITY OFFICERS IS ESTABLISHED USING SALARY BENCHMARKING DATA, AS WELL AS REVIEWS OF COMPENSATION DATA INCLUDED IN PUBLIC FILINGS OF COMPARABLE INSTITUTIONS. COMPENSATION LEVELS ARE REVIEWED AND ACCEPTED BY THE BOARD OF TRUSTEES BASED ON A REVIEW OF KEY DOCUMENTS, FILINGS, AND discussions regarding employee performance. THE PROCESS OF DETERMINING COMPENSATION IS CONDUCTED IN EXECUTIVE SESSION OF THE BOARD OF TRUSTEES MEETINGS IN ORDER TO PRESERVE CONFIDENTIALITY. COMPENSATION LEVELS THAT ARE AUTHORIZED AS A RESULT OF THIS PROCESS ARE DOCUMENTED.

Program service accomplishments: fordham university is an independent, not-for-profit, coeducational, institution of higher learning, in the jesuit tradition. Fordham university serves and educates approximately 9,600 undergraduate students and 6,900 graduate and professional students. The university awards baccalaureate, graduate, and professional degrees to students from fordham college at rose hill, fordham college at lincoln center, the gabelli school of business (undergraduate and graduate), the school of professional and continuing studies, the graduate schools of arts and sciences, education, religion and religious education, social service, and the school of law. A significant amount of financial assistance is provided to enable qualified students to study at the university. The university's principal locations include residential campuses in the bronx and manhattan, a campus in west harrison, new york, the louis calder center biological field station in armonk, new york, and the london centre in the united kingdom. In addition to these locations, the university holds a number of affiliations with higher education institutions across the globe, and offers online classes and online degree programs.

THE VSO PROVIDES FOR SEPARATION ALLOWANCES COMPRISING SALARY (BASED ON LENGTH OF SERVICE) AND FRINGE BENEFITS, PRINCIPALLY MEDICAL COVERAGE AND TUITION REMISSION. FOR THE YEAR ENDED JUNE 30, 2018, THE UNIVERSITY RECORDED A PROVISION FOR VOLUNTARY SEPARATION BENEFITS TOTALING $10,517,000, WHICH is PAYABLE THROUGH JUNE 30, 2020. FOR THE YEAR ENDED JUNE 30, 2019, $7,998,000 OF VOLUNTARY SEPARATION BENEFITS WERE PAID.

Form 990, part x, lines 27-29 net asset classification: the fasb issued accounting standards update (asu) 2016-14, not-for-profit entities (topic 958), presentation of financial statements of not-for-profit entities, which among other things, changes how not-for-profit entities report net asset classes. The significant requirements of asu 2016-14 include reducing the number of net asset classes from three to two: with donor restrictions (formerly reported as temporarily restricted net assets and permanently restricted net assets) and without donor restrictions (formerly reported as unrestricted net assets). The 2018 form 990, part x was not updated to reflect the change in net asset class terminology; therefore, the university has reported net assets without donor restriction as unrestricted net assets and net assets with donor restrictions as temporarily restricted net assets and permanently restricted net assets, respectively.

Collections: the university's most significant collection is exhibited at its museum of greek, etruscan and roman art. The museum occupies 4,000 square feet of space and features more than 260 antiquities dating from the 10th century b.c. Through the 3rd century a.d. The museum, admission to which is free of charge, is open to the public for both educational and research-related purposes.

Endowment funds: the purpose of fordham university's endowment is to generate investment earnings as a source of revenue to support financial assistance to students, fund new and cutting-edge programs while maintaining and improving existing ones, and improve and maintain the campus to meet the needs of the university community, as restricted by donors or internally designated by the board of trustees.

Income taxes: the university evaluates and accounts for uncertainties in income taxes recognized in its financial statements using a threshold of more-likely-than-not of being sustained. The university has no material uncertain tax positions. Income generated from activities that support the university's mission but may not directly relate to its exempt purpose (i.e. Unrelated business activities), is subject to tax. On december 22, 2017, the president signed into law h.r.1, originally known as the tax cuts and jobs act, which requires changes to the tax treatment of certain activities by tax-exempt organizations, including income from unrelated business activities. In connection with the university's evaluation of the law's impact on its operations, it recorded a deferred tax asset totaling $2,810,304, included in other assets of june 30, 2019, to reflect the fact that current net operating loss carryforwards will likely be deductible against future taxable income as a result of the new law's provisions.
