“The organization's bylaws provide for an executive committee. The executive committee consists of six independent members of the board of trustees, and may act on behalf of the board of trustees between meetings, except that the executive committee shall not have the power to sell or purchase real property; change terms of employment of the executive director; or amend the by-laws.”

If that is not reasonably possible, the board of trustees shall determine by a majority vote of the disinterested trustees in attendance whether the transaction or arrangement in in sculpturecenter's best interest and whether to enter into the transaction or arrangement. The person with the potential conflict of interest does not participate in the determination of whether an actual conflict exists.”
