Positioning artists' work in larger cultural, historical, and aesthetic contexts, sculpturecenter discerns and interprets emerging ideas. Founded by artists in 1928, sculpturecenter provides an international forum that connects artists and audiences by presenting exhibitions, commissioning new work, and generating scholarship.

The organization's bylaws provide for an executive committee. The executive committee consists of six independent members of the board of trustees, and may act on behalf of the board of trustees between meetings, except that the executive committee shall not have the power to sell or purchase real property; change terms of employment of the executive director; or amend the by-laws.

Sculpturecenter's 990 is reviewed by the organization's finance manager, executive director, finance committee, and audit committee prior to filing.

Form 990, Part VI, Section B, Line 12C

Each trustee and senior staff member is asked to sign an annual acknowledgement pertaining to the organization's conflict of interest policy in advance of the annual meeting, to certify that they have received, read, and understand these policies, and agree to disclose issues concerning compliance with these policies and state what those issues are. If a situation arises where an actual or possible conflict cannot reasonably be avoided, the person with the conflict shall disclose the matter to the chairman of the board of trustees (or another trustee if the chairman is involved) before entering into the transaction or arrangement. The matter shall be brought before the board for a discussion of whether sculpturecenter can reasonably obtain a more advantageous transaction or arrangement from a party that would not give rise to a conflict of interest. If that is not reasonably possible, the board of trustees shall determine by a majority vote of the disinterested trustees in attendance whether the transaction or arrangement is in sculpturecenter's best interest and whether to enter into the transaction or arrangement. The person with the potential conflict of interest does not participate in the determination of whether an actual conflict exists.

The executive committee of the board determines compensation for the executive director, and reviews proposed salary levels for the rest of the staff. In their review of all compensation, the committee considers comparable data.
