Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the organization's ceo, coo & cfo. It is then provided to the organization's audit chair and the full board of directors, who review and approve the form prior to its filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The conflict of interest questionnaire is completed annually at a minimum or whenever a potential conflict of interest arises. It is completed by all members of the board of directors and all administrative level staff including middle managers, department directors and assistant directors. The executive director/chief executive officer submits a quarterly report to an oversight committee of any staff whose relatives are hired. Approval of the oversight committee is required in advance for any related hiring that will result in compensation of more than $5,000. Any person with a potential conflict is prohibited from participating in the deliberation. Four board members have been appointed to the oversight committee.

Form 990, Part VI, Section B, Line 15

A member of the board of directors' finance committee collects and reviews compensation information of other organizations similar to visions. After comparing information, it is discussed with the rest of the members of the committee. The process is done each year in august for the upcoming fiscal year and is performed for the compensation of the organization's officers and key employees.

Form 990, Part VI, Section C, Line 19

The audited financial statements are available at visions website. Governing documents and conflict of interest policy are available upon request. The annual report is mailed to all donors of $100 or more.

Supplemental Narrative

Additional Explanations

Form 990, Part III, Line 2

Services pivoted from in person to virtual, remote services from march through september 2020 at visions center on aging. Visions center on aging offered check in calls to the center members and a special holiday number to call for older adults that felt lonely or isolated. Additional technology training was offered to blind older adults needing help with using their smartphones or tablets. In person services resumed in community services including in home rehabilitation training and visions center on blindness in july 2020 at a reduced level with strict social distancing and masks required.

Form 990, Part III, Line 3

In early 2020, the emergence of the covid-19 pandemic has led to significant disruption in the not-for-profit industry. For the year ended september 30, 2020, visions experienced a decrease in community events revenue due to covid-19 and has had to change in-person events for the foreseeable future. Other revenue streams have not been impacted during the year ended september 30, 2020, except for a 34% drop in revenue for april to june 2020. This drop was made up by the end of the fiscal year with the help of a paycheck protection program loan. Visions qualified for and received a paycheck protection program loan of $1,166,876 in april 2020. This enabled visions to avoid a huge deficit due to decrease in revenue. There were no staff layoffs, furloughs or salary reductions. The loan was forgiven in total in december 2020. Visions is monitoring this evolving situation closely and evaluating its potential exposure. As of the date of this report, it is uncertain what impact, if any, the disruption may have on the future operations of visions.
