Governance Explanations

Form 990, Part VI, Section B, Line 11

The 990 was reviewed first by management, the audit firm and full membership of the board of directors prior to filing. If the board of directors have any questions they are addressed.

Form 990, Part VI, Section B, Line 12C

The conflict of interest questionnaire is completed annually at a minimum or whenever a potential conflict of interest arises. It is completed by all members of the board of directors and all staff at an administrative level, including middle managers, department directors and assistant directors. The executive director/chief executive officer submits a quarterly report to an oversight committee of any staff whose relatives are hired. Approval of the oversight committee is required in advance for any related hiring that will result in compensation of more than $5,000. Any person with a potential conflict is prohibited from participating in the deliberation. There are four board members appointed to the oversight committee.

Form 990, Part VI, Section B, Line 15

A member of the visions board of directors finance committee collects and reviews data and information of other organizations similar to visions. After comparing the data, it is discussed with the rest of the members of the committee. The process is done each year in september for the upcoming fiscal year.

Form 990, Part VI, Section C, Line 19

Audited financial statements are available at visions website. The conflict of interest policy is available upon request & an annual report is mailed to all donors of $100 or more. Governing documents are available upon request.
