Governance Explanations

Form 990, Part VI, Section A, Line 6

The plenary authority of nhsa shall be vested in a membership of national voluntary organizations. Nhsa has the following classes of members: regular member: only a national nonprofit organization which is substantially focused on health or human service, and which has been recognized by the internal revenue service as a tax-exempt organization in section 501(c)(3) of the internal revenue code of 1986, as amended, may qualify for regular membership in nhsa. Associate member: a national, nonprofit organization with purposes or programs related to but not specifically health or human service may qualify for associate membership. Associate members are not voting members of nhsa. An associate member which has been recognized by the internal revenue services as a tax-exempt organization described in section 501(c)(3) may participate in most activities and enjoy most benefits of nhsa. An associate member not so recognized is not eligible for those benefits that are intended solely for 501(c)(3) organizations. A nonprofit organization which is eligible to be a regular member of nhsa is not eligible for associate membership. Division of subset of a larger organization: a division or subset of a nonprofit organization or institution that is a discrete program, has a national focus, and is clearly aligned with the purpose, interests, and activities of the nhsa may qualify for membership in its own right if its parent body would not qualify for membership. Depending on its purposes (e.g., health or human service vs. Nonprofit concerns more broadly), a division of a larger organization may be considered for regular or associate membership.

The ceo and the organization's accountant review the form 990, which is prepared by an outside cpa. After review by the ceo and accountant, the 990 is provided to the organization's board members prior to filing with the irs.

Conflict of interest policy enforcement: each board and staff member receives the conflict of interest policy, which is a part of an overall code of ethics. All board members and staff complete a conflict of interest declaration. Staff and board members submit completed and signed declarations to the ceo for review. The ceo determines if there are any conflicts of interest. If a conflict of interest is discovered, the matter would be taken to the executive committee of the board. There have been no conflicts of interest with board or staff members to date. Part vi, section b, line 13 whistleblower policy: the organization website also allows for confidential reporting of any alleged breach of ethics via a third party vendor, with any allegations reported to the ceo or an officer of the board if the allegation pertains to the ceo.

PART X, LINE 2:

National assembly follows the authoritative guidance relating to accounting for uncertainty in income taxes included in accounting standards codification topic 740-10, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in a tax return. It is national assembly's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. The organization performed an evaluation of uncertain tax positions for the year ended december 31, 2022 and determined that there were no matters that would require recognition in the consolidated financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various states and local jurisdictions in which the organization files tax returns.

THESE PROVISIONS PROVIDE CONSISTENT GUIDANCE FOR THE ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES RECOGNIZED IN AN ENTITY'S FINANCIAL STATEMENTS AND PRESCRIBE A THRESHOLD OF "MORE LIKELY THAN NOT" FOR RECOGNITION AND DERECOGNITION OF TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN IN A TAX RETURN. IT IS NATIONAL ASSEMBLY'S POLICY TO RECOGNIZE INTEREST AND/OR PENALTIES RELATED TO UNCERTAIN TAX POSITIONS, IF ANY, IN INCOME TAX EXPENSES. THE ORGANIZATION PERFORMED AN EVALUATION OF UNCERTAIN TAX POSITIONS FOR THE YEAR ENDED DECEMBER 31, 2022 AND DETERMINED THAT THERE WERE NO MATTERS THAT WOULD REQUIRE RECOGNITION IN THE CONSOLIDATED FINANCIAL STATEMENTS OR THAT MAY HAVE ANY EFFECT ON ITS TAX-EXEMPT STATUS.
