Governance Explanations

Form 990, Part VI, Section A, Line 3

Gpi utilized an outside accounting firm for various functions within the organization. Ross langan & mckendree llp handled the day to day operations of membership maintenance, financial processing and reporting as well as general administrative functions.

Form 990, Part VI, Section A, Line 6

Gpi has four classes members designated as follows: (1) primary manufacturer members; (2) customer manufacturer members; (3) votiing associate members which are further subdivided into sub-classes a & b; and (4) non-voting associate members are further subdivided into sub-classes c & d. The board of trustees establishes membership criteria for each class and sub-class of members. Primary manufacturer members consist of companies primarily engaged in the manufacture or sale to others of glass containers. These members are entitled to appoint one member to the board of trustees so that at all times a majority of the board of trustees is comprised of trustees appointed by this class of members. Customer manufacturer members consist of companies that are industry customers and are engaged in the production of glass containers. These members are entitled to appoint one member to the board of trustees. Voting associate members consist of suppliers of products and/or services to, and distributors of products for glass container manufacturers. These members are entitled to elect two trustees provided that only class a shall be eligible (1) for election to the board of trustees or (2) to chair any committee or task force of the institute. Non-voting associate members consist of other companies, organizations or individuals that share the objectives and principles of the institute. These members are not entitled to vote.

Form 990, Part VI, Section A, Line 7A

Primary manufacturer members and customer member manufacturer members are entitled to appoint members to the board of trustees.

Form 990, Part VI, Section B, Line 11

The form 990 is reviewed by the president. Any questions are discussed in detail with the tax preparer prior to the preparation of the return. The return is then submitted to the finance committee for review and finalization.

Form 990, Part VI, Section B, Line 15A

Compensation for the president is determined by the board of directors. There were no other employees.

Form 990, Part VI, Section C, Line 19

Additional Explanations

FORM 990, PART XI, LINE 9:

Adjust overstated accrued postretirement health benefit obligation 377,211.

Financial Statement Notes

PART X, LINE 2:

Gpi is exempt from federal income taxes under section 501(c)(6) of the internal revenue code (irc), except on net income from activities unrelated to its exempt purpose. Gpi was subject to federal proxy tax on its lobbying activities and federal tax on political contributions made. Federal taxes of $30,000 and $30,000 have been accrued for the years ended december 31, 2013 and 2012, respectively. Gpi is required to measure, recognize, present, and disclose in its financial statements uncertain income tax positions gpi has taken in the tax years that remain subject to examination or expects to take on an income tax return. Gpi recognizes the tax benefits from uncertain income tax positions only if it is more likely than not that the tax position will be sustained on examination by tax authorities. Prior year income tax returns may be subject to audit in various tax jurisdictions, most of which define open tax years as three years from the later of the due date or the date the return was filed. Gpi recorded no liability for uncertain income tax positions for any open tax years.

PART XI, LINE 2D - OTHER ADJUSTMENTS:

Cost of goods sold reported on part viii 10b 8,207.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0GPI IS EXEMPT FROM FEDERAL INCOME TAXES UNDER SECTION 501(C)(6) OF THE INTERNAL REVENUE CODE (IRC), EXCEPT ON NET INCOME FROM ACTIVITIES UNRELATED TO ITS EXEMPT PURPOSE.
