Governance Explanations

Form 990, Part VI, Section B, Line 11B

Social science research council, inc., has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the audit committee of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing by the audit committee. Once the audit committee has approved the return for filing, the chair of the audit committee reports to the board chair that they have approved it for filing, which is reflected in the minutes to the next board meeting. A copy of the return is sent to the board of directors once it has been filed.

Form 990, Part VI, Section B, Line 12C

To carry out the organizations conflict of interest policy, directors, officers and staff are expected to disclose promptly any interests which might conflict with their ssrc obligations to the president or the executive director of the ssrc. The executive director will be available to provide advice on such issues. Board members and new staff members are asked to sign a conflict of interest policy at the beginning of their employment or board term. At the time they are distributed, the organization asks that signers inform us of any transactions current or proposed that might constitute a conflict of interest based on the definitions in the document. A director or officer shall disclose a conflict of interest: (a) prior to voting on or otherwise discharging his/her duties with respect to any matter involving the conflict which comes before the board or any committee; (b) prior to entering into any contract or transaction involving the conflict; (c) as soon as possible after the director or officer learns of the conflict. Directors, officers and staff are required to complete an annual disclosure statement.

Form 990, Part VI, Section B, Line 15

Compensation of the president, executive director and key employees are approved by the board of directors. The process for determining compensation includes a review of available market data for comparable positions in similar organizations, internal equity and the candidates requested pay range and pay history. Also taken into account are the job function and responsibilities, considering experience, qualifications, education, pay range of the current position and when relevant specialized knowledge of their field. This was last completed in 2017. Salaries are reviewed annually by senior management and the board of directors during the spring review process. A cost of living increase amount is determined by a combination of a salary survey conducted by human resources of similar organizations and the cpi at the time of the determination. This amount is approved by the board at the annual meeting and is given based on merit. Supervisors request the cola increase if their staff's performance is satisfactory and may request an additional 0.5%-1% increase above cola in well supported cases of exceptional performance.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 and its financial statements available upon request. The governing documents and conflict of interest policy are distributed internally and are not made available to the public.
