The organization has members in seven different classes. They are as follows: life, honorary, regular, jr regular, non-resident, senior and international members. The only class that has an equitable interest, should the club disengage activities, is the regular member class. It is also the only class that can elect governors at the annual meeting.

Question 7a-the regular member class is the only class that can elect the board of governors. This is done at the annual meeting at the end of the fiscal year.

Form 990, Part VI, Section B, Line 12C

Overview: as a tax-exempt organization, the leash is required to provide certain information about the types of policies that it has or does not have on certain regulatory filings regarding such policies. One such policy relates to conflict of interest or "coi." it applies to all board members, officers and any committee members who are purchasing goods or services for the club because such individuals in their official capacities have a fiduciary duty to the club and its members. In short, all such individuals in their official capacities have an obligation to always put the club's interests ahead of their own personal interests and negotiate for the club's best execution. No such individual should take commissions or compensation in cash or in-kind and if such individual has a perceived or actual conflict, such individual is obligated to disclose it to the board. Defining a conflict: a conflict of interest can potentially arise any time we are purchasing goods or services for the club, generally in two ways. First, the individual arranging the purchase on behalf of the club is receiving some kind of compensation for organizing the purchase. For our coi policy, we exclude any incidental gifts below $100 (such as a bottle of wine, a free cap, tee-shirt, a drink or two, etc.). Second, when the club is contracting with a vendor that is affiliated with a member (such as a leash trip at delphi) which is fine, as long as it is at arms' length pricing and disclosed to the board. Below is a list of pre-approved affiliate transactions. Approving a conflict: if you believe that there is an actual or potential conflict, please bring it to the board for approval. Almost any conflict can be waived with transparency and full disclosure. The disinterested members of the board will vote to approve or disapprove the transaction giving rise to any such potential or actual conflict of interest. Who is subject to the coi policy? All board members, officers, committee members or other members handling matters for the club are obligated to abide by the club's coi policy and by accepting such positions each of them confirm their understanding of the coi policy and agree to abide by this coi policy. The coi policy applies to affiliates and family members to the extent that they are involved in a potential transaction. Remedies: the board will determine any remedies for a violation of its coi policy, including, without limitation, removal from their position on the board, officer position, committee and/or the club.
