Mission and Program Overview

Mission

The foundation's primary purpose is to solicit, manage, and administer contributions made by private donors to the college. As an integral part of its mission of maintaining and strengthening the academic excellence of the college, the foundation administers funds, the proceeds of which are used to support the college's services and activities not fully funded by state and city tax levies, as well as educational needs such as scholarships, special academic programs and other activities. The foundation also manages restricted trusts and endowed gift accounts and allocates such income as prescribed by the respective donors.

The Foundation's primary purpose is to solicit, manage and administer contributions made by private donors to Queens College.

FORM 990 REVIEW PROCESS The Form 990 was prepared by an independent accounting firm in conjunction with the organization's financial department. A copy of the draft Form 990 was circulated to the full Board of Trustees for discussion and comment. Each Board Member was provided ample opportunity to comment on the information contained in the 990 prior to its filing with the Internal Revenue Service.

Form 990, Part VI, Section B, Line 12

CONFLICT OF INTEREST POLICY ENFORCEMENT AND MONITORING Each officer, director, trustee and key employee of the Foundation is required to annually disclose any conflicts of interest that arise by virtue of their employment, board service, or position with the Foundation. The Foundation monitors compliance with its conflict of interest policy through an annual questionnaire/disclosure statement that is distributed to these individuals. Potential conflicts are investigated immediately.

WHISTLEBLOWER AND DOCUMENT RETENTION POLICIES The Foundation is serviced by individuals that are compensated by a related party, Queens College of the City of New York, and by an unrelated third party, the Research Foundation of the City of New York. All individuals providing services to the Foundation operate under the whistleblower policy and document retention policy of the organization from which they hail. Queens College Foundation does not have its own standalone whistleblower or document retention policy.

PROCESS FOR DETERMINING COMPENSATION: The Foundation does not compensate any of the individuals reported in Part VII of the Form 990; all officer compensation is paid by a related organization, Queens College of the City University of New York. Queens College is a municipal employer and all officer salaries are governed by contracts negotiated between the State, New York City and Trade and Municipal unions.

PUBLIC DISCLOSURE OF DOCUMENTS The Foundation makes its Form 990 available to the public by retaining a copy at its place of business. The Form 990 is likewise published on the internet at www.guidestar.org. The Foundation's financial statements, governing documents and conflict of interest policy will be available to the public upon request and at management's discretion. Form 990, Part VIII, Line 1 The Queens College Foundation receives contributions from various entities within the Queens College of CUNY universe of related entities. These organizations are not related parties of the Foundation under a strict interpretation of related party as defined in the 990 instructions; however, in the interest of full disclosure, the Foundation is reporting that it received $275,196 in contributions from other CUNY entities.

Financial Statement Notes

Schedule D, Part III, Line 4

The organization maintains artwork in the Godwin-Ternbach Museum. The Godwin-Ternbach Museum is a professional not-for-profit art institution situated on the Flushing, Queens campus of Queens College, the City University of New York. A comprehensive permanent collection of 3,500 objects from all cultures, ranging from the ancient world to the present day, is used to organize exhibitions and programs as cultural and educational vehicles for students, faculty and public audiences alike.

Schedule D, Part IV, Line 2

Deposits held in custody for others are comprised of resources held on behalf of the Kupferberg Center for the Arts at Queens College. As of June 30, 2016, all deposits held in custody for others were disbursed to the Kupferberg Center for the Arts at Queens College.

The Foundation's endowment consists of a portfolio of actively managed funds established to provide both a source of operating funds as well as long-term financial stability. The endowment is composed entirely of donor restricted endowment funds. Endowment funds may have purpose restrictions on use of the income.

Schedule D, Part X, Line 2

Income Taxes The Foundation follows guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can be recognized in the financial statements only if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. Management believes that there are no uncertain tax positions within its financial statements. Additionally, the Foundation has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; determine its filing and tax obligations in jurisdictions for which it has nexus; and to review other matters that may be considered tax positions. The Foundation is exempt from federal income taxation by virtue of being an organization described in Section 501(c)(3) of the Internal Revenue Code. Nevertheless, the Foundation may be subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the Code. The tax years ended June 30, 2013, 2014, 2015 and 2016 are still open to audit for both federal and state purposes. However, management believes that there are no uncertain tax positions for which recognition or disclosure is warranted.
